 1.     Definitions.

2.     Applicability.

At Subscriber’s request and upon Bentley’s approval, Subscriber and its authorized Affiliates (as defined below) may participate in the E365 Program, subject to the terms and conditions of the Agreement. To be eligible to participate, Subscriber must (i) be current on all outstanding invoices for amounts owed to Bentley; (ii) be a current Subscriber to the Cloud Services Subscription (“CSS”) program; and (iii) utilize SES for license administration.

3.     Overview.

Upon Bentley’s acceptance of Subscriber into the E365 Program, Subscriber shall be granted rights to Use certain E365 Products (as defined below) without limitation as to the number of Users. As a participant in the E365 Program, Subscriber acknowledges that its Cloud Services Subscription (CSS) shall be utilized to fund usage of E365 Products. Subscriber shall execute an E365 Order Form (which for the purposes if these E365 Program Terms is an Offering Document) , which shall designate the “Estimated Fees”, the subscription start date (“Start Date”). and the length of the subscription (“Subscription Term”). If Subscriber executes multiple E365 Order Forms over time, the E365 Order Form with the most recent execution date shall supersede all previous E365 Order Forms.

4.     E365 Products.

Bentley Products eligible for CSS funding through the E365 Program (“E365 Products”) are licensed on the following bases: i) named user or unique machine per day (“Category A Products”); ii) named user or unique machine per quarter (“Category B Products”); iii) fixed fee (“Category C Products”); iv) data processing units (“Category D Products”); or v) peak data storage (“Category E Products”). License model and pricing information for E365 Products are included in the Enterprise 365 Price List. Additional eligible products and subscriptions may be quoted separately. Bentley may amend the list of E365 Products and the Enterprise 365 Price List from time to time in Bentley’s sole discretion.

5.     Affiliate Participation.

Subscriber acknowledges that its Affiliates may Use E365 Products (“Affiliate E365 Transactions”) and hereby authorizes Bentley to hold certain CSS funds from the “Annual Commitment” (as set out in the CSS Order Form) in trust for payment of E365 Products. Subscriber agrees that it shall expressly authorize payment for each Affiliate E365 Transaction. Except in cases where an Affiliate has executed an Affiliate Participation Letter (defined below), Subscriber agrees to remain responsible for its participating Affiliates’ compliance with the terms and conditions of the Agreement. Moreover, with respect to any participating Affiliates, each Affiliate’s respective pre-existing agreement with Bentley, including but not limited to a SELECT Program Agreement, if any, between Affiliate and Bentley, shall terminate immediately upon, and as a pre-condition to, such Affiliate’s participation in the E365 Program. For the purposes of these E365 Program Terms, “Affiliate” shall mean: any incorporated or non-incorporated entity: (i) listed on a Baseline Products and Affiliate List attached to the E365 Order Form, which may be amended by Bentley from time-to-time throughout the Subscription Term to update the list of Subscriber’s Affiliates or (ii) whose participation in the E365 Program is approved by Bentley upon such entity’s execution of an “Affiliate Participation Letter”.

6.     E365 Products License Grant.

6.1. Uso de Producción.

6.2. Evaluation Use.

Subscriber may request, and Bentley may at its sole discretion grant to Subscriber a limited, non-transferable, revocable, non-exclusive right to use Eligible Products for internal evaluation or testing use only (an “Evaluation License”), provided that such Evaluation Licenses are not used for Production Use. To the extent that an Evaluation License is used in breach of the restrictions set forth herein (an “Unauthorized Use”), then each such instance of Unauthorized Use shall count as an instance of Use of E365 Products.

7.     CSS Funding.

8.     Floor.

8.1. The E365 Order Form may designate a minimum quarterly fee (“Quarterly Floor”), which shall only be valid for the annual twelve-month period(s) set forth in the E365 Order Form (each a “Floor Period”). If the value of actual Usage, as calculated based on the Enterprise 365 Price List, for any quarter (“Quarterly Usage Value”) is less than the Quarterly Floor during a Floor Period, the fee for such quarter shall be the Quarterly Floor.

8.2.     Acquisitions.

(a) Bentley Acquisitions. Should Bentley, following an acquisition, add acquired software (“Acquisition Product”) to the E365 Products during a given Floor Period, and Subscriber uses such Acquisition Product, Bentley, in its sole discretion, may require that the parties negotiate a new Quarterly Floor. If the parties fail to reach agreement by the end of the current quarter, Bentley shall have the right to terminate the E365 Program subscription in accordance with clause 10 herein. (b) Subscriber Acquisitions. Should Subscriber, during a given Floor Period acquire an entity which is a current subscriber to a Bentley commercial licensing program, Bentley, in its sole discretion, may require that the parties negotiate a new Quarterly Floor. If the parties fail to reach agreement by the end of the current quarter, Bentley shall have the right to terminate the E365 Program subscription in accordance with clause 10 herein.

8.3. Category C Products. Usage of E365 Products estimated for purposes of calculating a Quarterly Floor assume usage of only Category A, B, D, and E Products listed in the Enterprise 365 Price List plus any Category C Products subscribed to as of the subscription start date as indicated on the E365 Order Form (“Start Date”). Should Subscriber add or modify a Category C Product during a given Floor Period, the fees for the Category C Product from the start of the subscription to the next Anniversary Date will be billed quarterly from Subscriber’s CSS and accounted for separately from the fees for the E365 Products. From the next Anniversary Date, the additional Category C Product fees will be included in the Estimated Fees, and any Quarterly Floor values for the subsequent year will be adjusted accordingly.

9.     E365 Services.

9.1. Subscriber may request professional services from time to time and Bentley may agree to perform such services pursuant to this Agreement. The professional services requested by Subscriber and which Bentley agrees to perform shall hereinafter be referred to as “Services Offerings”. Further details regarding Services Offerings may be found in the Services Terms herein.

9.2 Some Services Offerings will have a fixed cost expressed as a given number of “Credits”. Each Credit is valid for twelve months from either the Start Date, as set forth on the E365 Order Form, or a given anniversary of the Start Date (each an “Anniversary Date”), as applicable. For the sake of clarity, if one or more relevant Credits expire after delivery of a Services Offering has commenced but before it is completed, delivery shall continue for a maximum of 90 days from commencement of the Services Offering based on the expired Credits, and Subscriber will not be asked to expend any additional Credits for that Services Offering. Subscriber will be allocated a number of Credits, based initially on Subscriber’s Estimated Fees as set forth on the E365 Order Form, and in subsequent years on the Requested Funding Amount listed on a given “Enterprise 365 Request for Funding” document. For the sake of clarity, the number of allocated Credits may be zero.

10.     Term and Termination.

10.1. Term. This Agreement and Subscriber’s E365 Program subscription shall begin on the Start Date indicated on the E365 Order Form and shall continue until either Bentley or Subscriber terminates the subscription for convenience at any time with thirty (30) days prior written notice (the “Termination Notice”) to the other party. Subscriber acknowledges that subscriptions to certain Bentley Products may be subject to a different termination notice period, which shall be set out in the applicable Offering Document. Prior to the start of the E365 Program subscription, Bentley may extend Subscriber’s then-current Bentley subscriptions on a pro-rated basis to the end of the then-current calendar quarter.

10.2. Termination for Material Breach. Either party may, at its option, terminate this Agreement in the event of a material breach of this Agreement by the other party. Any such termination may be affected only through a written notice to the other party, specifically identifying the breach or breaches on which termination is based. Following receipt of such notice, the party in breach shall have thirty (30) days to cure such breach or breaches, and this Agreement shall terminate in the event that such cure is not made by the end of such period; provided, however, Bentley shall have the right to terminate this Agreement immediately if Subscriber breaches any of its obligations under Section 3 of the General Terms and Conditions. The failure of Subscriber to pay an outstanding invoice of Bentley shall always constitute a material breach of this Agreement.

10.3. Insolvency. If, under applicable insolvency laws, Subscriber becomes unable to pay its debts or becomes insolvent or bankrupt or makes arrangements with its creditors, or otherwise goes into liquidation, administration, examinership or receivership, then Bentley shall have the right to terminate this Agreement immediately by written notice.

10.4. Event of Termination. Upon the termination of this Agreement for any reason, all of the rights and licenses granted to Subscriber in this Agreement shall terminate immediately. With respect to any perpetually licensed Products, the terms and conditions set forth in the license agreement delivered with such Products shall govern Subscriber’s use of such Products. Subscriber shall immediately discontinue use of SES. In the event of a termination for convenience of Subscriber’s E365 Program subscription according to Section 10.1 herein, all delivery of services towards any Services Offering shall cease immediately following the receipt by Bentley or Subscriber of a Termination Notice.

General Terms & Conditions

1. Definiciones.

1.1. “Agreement” shall be defined as set forth in the applicable Program Terms.

1.2. “Bentley” means the Bentley Contract Entity and any legal entity controlling, controlled by, or under common control with the Bentley Contract Entity, including, without limitation any such entity created or acquired during the term hereof.

1.3. “Bentley Contract Entity” means the applicable Bentley entity set out in Article 7 of these Terms for the license of Bentley Products and services.

1.4. “Bentley Products” or “Products” means the software products, data and other materials, previously or hereafter (including software products, data and other materials acquired by Bentley during the term of an Agreement) Distributed by Bentley through delivery mechanisms determined in Bentley’s sole discretion that Bentley makes available to Subscriber typically in Object Code form only, for licensing hereunder, including Major Updates and Minor Updates.

1.5. “Country” means the country: (i) where the Product is first obtained from Bentley or an authorized Bentley reseller; or (ii) specified in the purchase order for which a Production Use copy of the Product may be made, or the Product is authorized to be used.

1.6. “Device” means a single personal computer, workstation, terminal, laptop, mobile device, server, or other electronic device.

1.7. “Distribute” means distribution by Bentley through all means now known or hereinafter developed.

1.8. “Documentation” means descriptive, interactive, or technical information resources pertaining to Products, or Cloud Offerings.

1.9. “Effective Date” means the date Subscriber executes an Offering Document that references the applicable Program Terms, or otherwise accepts the Offering Document in writing.

1.10. “Eligible Product” means a Bentley Product as designated on the Bentley Licensing Program Eligibility List, which can be accessed at www.bentley.com/wp-content/uploads/Licensing-Program-Eligibility-List.pdf, absent of which a Product is ineligible for any such program or Subscription.

1.11. “External User” means any User (not an organization) who is not: 1.11.1. one of Subscriber’s full-time, part-time, or temporary employees; or

1.11.2. agency temporary personnel or an independent contractor engaged in Production Use and working under Subscriber’s supervision and control.

1.12. “Major Update” means a commercial release of a Product which has substantial added functionality over the Product it is intended to replace.

1.13. “Minor Update” means a maintenance release of a Product.

1.14. “Object Code” means the Products in a machine-readable form that is not convenient to human understanding of the program logic, and that can be executed by a computer using the appropriate operating system without compilation or interpretation. Object Code specifically excludes source code.

1.15. “Offering Document” means a written commercial offer from Bentley that may be variously referred to as a proposal, work order, statement of work, quotation or order form.

1.16. “Production Use” means use of a Bentley Product in Object Code form by a User or Device, as applicable, solely for Subscriber’s internal production purposes, and excludes External Users (except with respect to access to Server Products).

1.17. “Program Terms” means the relevant terms and conditions governing a Bentley subscription program.

1.18. “Proprietary Information” shall be defined as confidential, proprietary and technical information pertaining to Bentley Products and to Bentley’s technology and business practices.

1.19. “Serial Number” means a unique number issued by Bentley for identification of a particular copy of a Product, which number shall be registered to Subscriber and assigned by Subscriber to a particular copy of such Product.

1.20. “Server Product” means a Product that resides on a server and provides functionality that Users access by connecting to the server using client applications or mobile applications. Such server may reside: i) on a Server Product deployed behind Subscriber’s firewall and/or within Subscriber’s network, ii) on a Server Product licensed by an external organization, or iii) by Bentley as a cloud-based service.

1.21. “Services Offering(s)” means the professional services requested by Subscriber and which Bentley agrees to perform pursuant to an Offering Document and the terms of this Agreement.

1.22. “Site” means one or more discrete geographic locations at which Subscriber Uses or manages the operation of Products within the geographic boundaries of a single Country.

1.23. “Subscriber” shall be defined as set forth on the relevant Offering Document, and with respect to the Use of Products the term “Subscriber” shall refer to: (i) one of Subscriber’s full-time, part- time, or temporary employees; or (ii) agency temporary personnel or an independent contractor engaged in Production Use and working under Subscriber’s direct supervision and control.

1.24. “Subscription Entitlement Service” or “SES” means Bentley’s cloud-based license management service or any successor Bentley tool for license administration.

1.25. “Subscription Fee” means the fee for a subscription as published from time to time in Bentley’s sole discretion.

1.26. “Subscription Term” shall be defined as set forth in the relevant Offering Document or Program Terms.

1.27. “Technical Support” means Internet and electronic mail-based support to assist a Subscriber as described in the relevant Program Terms and Support and Maintenance Terms.

1.28. “Time Clocks” means copy-protection mechanisms, or other security devices which may deactivate Products after termination or expiration of the Agreement, any applicable Subscription Term or any applicable renewal term.

1.29. “Usage Data” means such data or information as Bentley may collect relating to Subscriber’s installation, access or use of Products, Product features and functionality, Cloud Offerings (as defined in the Cloud Offering Terms, and other Bentley services, including but not limited to usage statistics that do not consist of any personally identifiable information, such as volume of use, duration of use, time of use, number of users, features used, and location of users.

1.30. “Use” (whether or not capitalized) means utilization of the Product by an individual.

1.31. “User” means an individual person.

1.32. “Virtualized Environment” means a system that provides remote access to software applications for one or more users.

2.     Payment of Bentley Invoices.

2.1. Payment Terms. Unless otherwise specified in an Offering Document, Subscriber shall pay each Bentley invoice or CSS Payment Request for all Product licenses (including Product Subscription Licenses and Term Licenses) and services provided by Bentley within thirty (30) days from the date of such invoice. Interest shall accrue on past due payments of such invoices at the rate of one and one-half percent (1.5%) per month or the highest rate permitted by applicable law, whichever is less. In the event any payment owed to Bentley is past due, Bentley, at its discretion, may suspend or, after notice of such overdue payment and a thirty (30) day period to cure, terminate Subscriber’s access and use of Products and associated services, rights, and licenses provided by Bentley. 2.2. Taxes. Subscriber shall pay to Bentley all levied taxes that Bentley is required under applicable law to collect from Subscriber, including, but not limited to sales, use, occupation, value added, excise, and property taxes (except for taxes based on Bentley’s net income). If Subscriber is obligated under an applicable law to withhold or deduct taxes from any payment to Bentley, Subscriber shall furnish to Bentley official receipts evidencing Subscriber’s payment of such taxes.

2.3. Records; Audit. Subscriber shall maintain complete and accurate records of Product licenses acquired and its creation and use of Products to permit Bentley to determine whether Subscriber has complied with its licensing obligations. These records shall include the location and identification of the Subscriber hardware on which Subscriber uses each copy of the Products and identify the Users to whom Subscriber has assigned licenses. If Bentley suspects Usage Data is incomplete, inaccurate, or indicative of non-compliance with Subscriber’s granted rights, Bentley may request, and Subscriber shall, within a reasonable period of receiving Bentley’s notice, provide a written report with supporting records to meet the record keeping requirements of this Section 2.3. If the written report is not sufficient for Bentley’s requirements, Bentley may request, and Subscriber shall, upon seven (7) days advance written notice by Bentley, permit, reasonable inspection and copying of such records by Bentley or a third-party auditor retained by Bentley.

3.     Intellectual Property Rights.

3.1. Title; Reservation of Rights. Subscriber acknowledges and agrees that: 3.1.1. The Products, including the Documentation for each Product, and any information about the Products which Subscriber obtains through any means of electronic transmission, contain proprietary information of Bentley, its licensors or other suppliers, and are protected under United States copyright laws, other applicable copyright laws, other laws relating to the protection of intellectual property, and international treaty provisions;

3.1.2. The entire right, title, and interest in and to the Products, the Documentation, any information Subscriber obtains through any means of electronic transmission, and all associated intellectual property rights, shall remain with Bentley or its licensors;

3.1.3. The Products are licensed, not sold, and title to each copy of the Products shall remain with Bentley or its licensors, and shall not pass to Subscriber; and

3.1.4. Bentley retains all rights not expressly granted.

3.2. Source Code. Subscriber shall have no right hereunder to receive, review, use or otherwise have access to the source code for the Products.

3.3. Copyright Notices. Subscriber shall reproduce and include on all copies of the Products created by Subscriber all copyright notices and proprietary legends of Bentley or its licensors as they appear in or on the original media containing the Products supplied by Bentley.

3.4. Usage Data. Subscriber agrees and acknowledges that Bentley will from time-to-time collect Usage Data and that all Usage Data shall be owned by Bentley and deemed Bentley Proprietary Information. Subscriber agrees not to alter or interfere with the collection by Bentley of accurate Usage Data.

3.5. Documentation. Bentley may, in association with Products or Cloud Offerings, make certain Documentation available to Subscriber. Documentation is Bentley Proprietary Information. Bentley hereby grants to Subscriber a limited non- transferable non-exclusive license to use such Documentation in support of Production Use.

3.6. Reverse Engineering. Subscriber may not decode, reverse engineer, reverse assemble, reverse compile, or otherwise translate the Products or Documentation except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. To the extent that Subscriber is expressly permitted by law to undertake any of the activities listed in the previous sentence, Subscriber will not exercise those rights until it has provided Bentley with thirty (30) days prior written notice of its intent to exercise such rights.

3.7.     Proprietary Information.

3.7.1. Subscriber understands and agrees that Bentley may, in connection with the provision of Products and services, disclose to Subscriber Proprietary Information. Subscriber agrees to treat all Proprietary Information in accordance with this Section 3.7.

3.7.2. Subscriber shall maintain the confidentiality of all Proprietary Information. Subscriber shall not reproduce or copy Proprietary Information except as permitted in the Agreement or as may be expressly authorized in writing in advance by Bentley. All such copies shall be marked by Subscriber as proprietary and confidential information.

3.7.3. Subscriber shall only use Proprietary Information in furtherance of the Agreement and may disclose Proprietary Information only to those employees required to have knowledge of same to perform their duties pursuant to the Agreement. Subscriber shall not disclose or make Proprietary Information available to any third party at any time.

3.7.4. Subscriber shall treat Proprietary Information with the same degree of care as it uses to protect its own confidential information, and in no case less than a reasonable degree of care.

3.7.5. Upon the termination or non-renewal of the Agreement, Subscriber shall return to Bentley or, if so requested, destroy all Proprietary Information in its possession.

3.7.6. Subscriber shall have no obligation of confidentiality with respect to any Proprietary Information that (i) has entered the public domain other than through a breach of the Agreement, (ii) has been rightfully obtained by Subscriber from a third party with no obligation of confidentiality, or (iii) is previously known by Subscriber as demonstrated by clear and convincing evidence.

3.7.7. Subscriber shall promptly inform Bentley upon knowledge of any actual or potential unauthorized use or disclosure of the Proprietary Information.

3.7.8. Bentley hereby acknowledges that disclosure by Subscriber of the Agreement, or portions thereof, may be subject to Subscriber’s state statutes, such as open public records or freedom of information acts. The nondisclosure of the Agreement, or portions thereof, may depend upon official or judicial determinations made pursuant to such statutes when Subscriber receives a request from a third party for the disclosure of information designated by Bentley as “confidential information.”

3.7.9. In such cases, Subscriber shall notify Bentley within a reasonable period of the request, and Bentley shall be exclusively responsible for defending Bentley’s position concerning the confidentiality of the requested information. Neither the Subscriber nor any of its agencies is or shall be obligated to assist in Bentley’s defense. If any disclosure is subsequently made of such information by Subscriber, disclosure shall be made consistent with such official or judicial final determination and only to the extent required under applicable law.

3.8. No Benchmarks. Subscriber may not disclose the results of any Product testing, including but not limited to benchmarks, to any third party without first obtaining Bentley’s written consent to do so.

4.     Use of Bentley Products in a Virtualized Environment.

4.1. El Suscriptor podrá usar los Productos Bentley para Uso en Producción únicamente en una red de equipos multiusuario en un Entorno Virtualizado sujeto a las condiciones que establece este artículo 4.

4.2. 4.3. Subscriber hereby agrees to utilize SES to allow for accurate monitoring of Use of Bentley Products within the Virtualized Environment such that each session started within the Virtualized Environment requires its own unique license.

4.4. Certified Virtualized Environments.

4.4.1. Further information, including a list of Bentley certified Virtualized Environments, and updates to Bentley’s policy may be found at https://aka.bentley.com/VirtualizedEnvironments (“VE Wiki”).

4.4.2. Bentley Products used in a Virtualized Environment that have not been certified by Bentley and listed on the VE Wiki shall be excluded from the warranties set forth herein.

4.4.3. Bentley will not provide Subscriber with technical support services for problems, errors or other operating difficulties caused by or related to Subscriber’s use of Bentley Products in a Virtualized Environment that has not been certified by Bentley and listed on the VE Wiki.

4.5. For the sake of clarity, Subscriber’s right to use Bentley Products in a Virtualized Environment shall terminate in the event of any termination or non-renewal of the Agreement, notwithstanding that such products are licensed on a perpetual basis.

5.     Limited Warranty; Limitation of Remedies and Liability.

5.1. Limited Warranty to Subscriber. Except for Products licensed on a no fee basis, which are provided to Subscriber “AS-IS” and without warranty of any kind, Bentley hereby warrants for the benefit only of Subscriber that (a) for a period of ninety (90) days (“Warranty Period”) from the date of delivery to Subscriber of a Serial Number or Product, as the case may be, the Product shall, under normal use, operate in substantial conformance with the functional specifications set forth in the Documentation applicable to such Product, and (b) for a period of ninety (90) days from the date of delivery, other products and materials furnished by Bentley to Subscriber shall, under normal use, operate in substantial conformance with the Bentley documentation applicable to such products and materials. If any modifications, enhancements, or changes are made by Subscriber or at Subscriber’s direction to the Products; if the Products are reverse-engineered, decompiled or disassembled; or if Subscriber breaches the terms of the Agreement, then the warranties in this section shall be immediately terminated. This limited warranty gives Subscriber specific legal rights, Subscriber may have other rights which may vary from state/jurisdiction to state/jurisdiction.

5.2. Exclusion of Warranties. THE WARRANTIES STATED IN SECTION 5.1 ABOVE ARE BENTLEY’S SOLE AND EXCLUSIVE WARRANTIES PERTAINING TO THE PRODUCTS, TECHNICAL SUPPORT SERVICES AND OTHER MATERIALS AND SERVICES LICENSED, DELIVERED OR OTHERWISE FURNISHED BY BENTLEY. BENTLEY DOES NOT WARRANT THAT THE PRODUCTS, TECHNICAL SUPPORT SERVICES, OR ANY OTHER SERVICE OR MATERIALS WILL MEET SUBSCRIBER’S REQUIREMENTS, BE FREE FROM VIRUSES OR OPERATE UNINTERRUPTED OR ERROR FREE. BENTLEY HEREBY DISCLAIMS ALL OTHER WARRANTIES EITHER STATUTORY, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, WARRANTIES AGAINST NON-INFRINGEMENT AND THE IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY AND FITNESS FOR A PARTICULAR PURPOSE. THESE EXCLUSIONS MAY NOT APPLY TO SUBSCRIBER AS SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES.

5.3. Exclusive Remedy. The entire liability of Bentley and the sole and exclusive remedy of Subscriber for Product claims under Section 5.1 above shall be, in Bentley’s sole and absolute discretion, (i) to repair or replace a Product or other materials in breach of the foregoing warranties, (ii) to advise Subscriber how to achieve the same functionality with the Product as described in the Documentation through a procedure different from that set forth in the Documentation, or (iii) to return the purchase price or fees paid therefore, where written notice of such breach, specifying the defect, is furnished to Bentley during the Warranty Period. Repaired, corrected, or replaced Products and Documentation shall be covered by this limited warranty for ninety (90) days after the date: (a) of shipment to Subscriber of the repaired or replaced Products and Documentation, or (b) Bentley advised Subscriber how to operate the Products to achieve the functionality described in the Documentation.

5.4. Exclusion of Damages. IN NO EVENT SHALL BENTLEY OR ITS LICENSORS AND SUPPLIERS BE LIABLE TO SUBSCRIBER FOR ANY LOST PROFITS, LOSS OF REVENUE, LOSS OF GOODWILL, DAMAGE TO REPUTATION, INTERRUPTION OF BUSINESS, COSTS OF LOST OR DAMAGED DATA OR DOCUMENTATION, COSTS OF DELAY, OR FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, REGARDLESS OF THE NATURE OF THE CLAIM, INCLUDING WITHOUT LIMITATION LOSS OF USE, INABILITY TO ACCESS ONLINE SERVICES OR ANY FAILURE OR DELIVERY OR LIABILITIES TO THIRD PARTIES ARISING FROM ANY SOURCE, EVEN IF BENTLEY HAS BEEN ADVISED, KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES OR CLAIMS. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW FOR THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO SUBSCRIBER.

5.5. Disclaimer. Subscriber acknowledges that the Products are not fault- tolerant and have not been designed, manufactured or intended for use and will not be used in the development of weapons of mass destruction, as on-line control equipment in hazardous environments requiring fail-safe performance, such as in the operation of nuclear facilities, aircraft navigation or communication systems, air traffic control, direct life support machines, or weapons systems, in which the failure of the Products could lead directly to death, personal injury, or severe physical or environmental damage. Subscriber further acknowledges that the Products are not substitutes for Subscriber’s professional judgment, and accordingly, neither Bentley nor its licensors or suppliers are responsible for Subscriber’s use of the Products or the results obtained from such use. The Products are intended only to assist Subscriber in its business and are not meant to be substitutes for Subscriber’s independent testing and verification of stress, safety, utility or other design parameters.

5.6. Limitation of Bentley Liability. IN THE EVENT THAT, NOTWITHSTANDING SECTIONS 5.1, 5.2, 5.3, 5.4 AND 5.5 HEREIN, BENTLEY IS FOUND LIABLE FOR DAMAGES BASED ON ANY BREACH, DEFECT, DEFICIENCY OR NON-CONFORMITY IN A PRODUCT, IN SUPPORT SERVICES, OR IN ANY OTHER SERVICE OR MATERIALS, WHETHER IN CONTRACT, TORT OR OTHERWISE, AND REGARDLESS OF WHETHER ANY REMEDY SET FORTH HEREIN FAILS OF ITS ESSENTIAL PURPOSE BY LAW, BENTLEY’S CUMULATIVE LIABILITY HEREUNDER SHALL NOT EXCEED THE PRICE PAID BY SUBSCRIBER FOR (i) SUCH PRODUCT, (ii) PRODUCT SUBSCRIPTION FEES FOR THE TWELVE (12) MONTHS PRECEDING AN APPLICABLE CLAIM WITH RESPECT TO A PRODUCT SUBSCRIPTION LICENSE, (iii) PROGRAM SUBSCRIPTION FEES FOR THE TWELVE (12) MONTHS PRECEDING AN APPLICABLE CLAIM WITH RESPECT TO THE RELEVANT BENTLEY COMMERCIAL SUBSCRIPTION PROGRAM, OR (iv) SUCH OTHER DEFECTIVE SERVICE OR MATERIALS, AS THE CASE MAY BE. THE PROVISIONS OF THE AGREEMENT ALLOCATE THE RISKSBETWEEN BENTLEY AND SUBSCRIBER. BENTLEY’S PRICING REFLECTS THIS ALLOCATION OF RISK AND THE LIMITATION OF LIABILITY SPECIFIED HEREIN.

5.7. Indemnification by Bentley.

5.7.1. Bentley shall pay any damages finally awarded against Subscriber based on a claim against Subscriber that a Product which is developed and owned by Bentley infringes a third party’s copyright under the laws of a Berne Convention signatory country, or results in a misappropriation of a third party’s trade secret, in the Country where Subscriber has been authorized to place the Product subject to such claim into Production Use, if Subscriber provides to Bentley: (a) prompt written notice of any such claim, (b) all available information and assistance, and (c) the opportunity to exercise sole control of the defense and settlement of any such claim.

5.7.2. Bentley shall also have the right, at its expense, either to procure the right for Subscriber to continue to use the Product or to replace or modify such Product so that it becomes non- infringing. If neither of the foregoing alternatives is available on terms that Bentley, in its sole discretion, deems desirable, Subscriber shall, upon written request from Bentley, return to Bentley the allegedly infringing Product, in which event Bentley shall refund to Subscriber the price paid by Subscriber for each copy of such returned Product, less twenty percent (20%) for each elapsed year since the commencement of the license for such copy. In no event shall Bentley’s liability under this sub-section (5.7.2) to Subscriber exceed the license fees paid by Subscriber for the allegedly infringing Product.

5.7.3. Bentley shall have no liability and this indemnity shall not apply if the alleged infringement is contained in a Product which is not developed or owned by Bentley or is due to modification of the Product by Subscriber or the combination, operation or use of a Product with other software that does not originate from Bentley or if Subscriber is in breach of the Agreement. Bentley shall also have no liability, and this indemnity shall not apply, for the portion of any claim of infringement based on use of a superseded or altered release of a Product if the infringement would have been avoided using a current, unaltered release of the Product.

5.8. Anti-Virus Software. Bentley shall use commercially available, up-to-date virus checking software and procedures on all Products before they are made available to Subscriber.

6.     Sanctions and Export Controls.

The software is subject to U.S. sanctions and export control laws, regulations, and requirements in addition to sanctions and export control laws, regulations and requirements of other agencies or authorities based outside of the United States (collectively referred to as “Sanctions and Export Controls”). Regardless of any disclosure made by Subscriber to Bentley of an ultimate destination of the software, Subscriber must not export, re- export or transfer, whether directly or indirectly, the software, or any portion thereof, or any system containing such software or portion thereof to anyone, without first complying strictly and fully with all Sanctions and Export Controls that may be imposed on the software and/or the export, re-export or transfer, direct or indirect, of the software and transactions related thereto. The entities, end users and countries subject to restriction by action of the United States Government or any other governmental agency or authority outside of the United States, are subject to change, and it is Subscriber’s responsibility to comply with the applicable Sanctions and Export Controls, as they may be amended from time to time. Subscriber shall indemnify, defend and hold Bentley harmless for any breach of its obligations pursuant to this Section 6.

7.      Bentley Entity, Governing Law, Dispute Resolution and Notices.

Depending on where Subscriber’s principal place of business is (or if Subscriber is an individual, where the Subscriber is resident), the Agreement is between Subscriber and the Bentley entity set out below. The Agreement will be governed by and construed in accordance with the substantive laws in force in the respective country specified in the below table. To the maximum extent permitted by applicable law, the parties agree that the provisions of the United Nations Convention on Contracts for the International Sale of Goods, as amended, and the provisions of the Uniform Computer Information Transactions Act, as they may have been or hereafter may be in effect in any jurisdiction, shall not apply to the Agreement. Any dispute, controversy or claim between the parties arising under the Agreement shall be resolved pursuant to the applicable dispute resolution provision set out below. Notices under this Agreement shall be made or given by hand delivery, prepaid certified mail, next day air delivery, or electronically, and the date upon which any such notice is received at the designated address shall be deemed to be the date of such notice. All notices sent under the Agreement shall be addressed, if to Bentley, to the attention of the Bentley Legal Department and addressed to the applicable Bentley entity according to the below table or via email to [email protected], and if to Subscriber, to the (e-mail) address and authorized representative identified in writing to Bentley.

For this purpose, either party may notify the other to attend a meeting at which an attempt will be made to resolve the Dispute through friendly discussions in good faith (“Dispute Notice”). Except as otherwise provided in this Agreement, if the parties do not find a solution, within a period of 30 (thirty) days after the delivery of the Dispute Notice from one party to the other, then the Dispute shall be resolved through arbitration. The arbitration procedure will be conducted by the AMCHAM Arbitration and Mediation Center in accordance with its rules (“Arbitration Rules”).

The resolution of a Dispute through arbitration procedure will only be applicable in the event that the disputed amount exceeds BRL 5,000,000.00 (five million reais). If this amount is not reached, the Dispute will be conducted, through litigation in the Courts of the City of São Paulo, State of São Paulo.

The arbitration shall be conducted in Portuguese by three arbitrators. The complainant must appoint an arbitrator in the “Request for Arbitration”, and the respondent must appoint an arbitrator at its first opportunity to demonstrate. If one of the parties fails to appoint its respective arbitrator, the latter will be appointed in accordance with the procedure set out in the Arbitration Rules. The two arbitrators shall, by mutual agreement, appoint the third arbitrator, who shall be the president of the arbitral tribunal. If there is no consensus, the third arbitrator will be appointed in accordance with the Arbitration Rules.

The parties recognize that any of the parties may request an urgent injunctive relief before the Courts of the City of São Paulo, State of São Paulo, and such request will not be considered incompatible with, or as a waiver of, any provisions contained in this clause or in Law 9.307/96. In addition to the authority of the arbitration court conferred by the Arbitration Rules, the arbitral tribunal has the authority to issue orders and grant preliminary injunctions, precautionary measures, injunctive relief and determine specific enforcement, when deemed fair and equitable. In the event of any dispute, controversy or claim between the parties arising under this Agreement, the parties shall submit to binding arbitration before a single arbitrator in Mexico City, Mexico, in accordance with the Commercial Arbitration Rules of the International Chamber of Commerce. The decision of the arbitrator shall be final and binding on the parties, and the judgment upon the award rendered by the arbitrator shall be enforceable in any court of competent jurisdiction. Each party shall bear its own legal fees, costs, and expenses incurred in such arbitration. Notwithstanding the foregoing, Bentley has the right to commence proceedings against Subscriber in any court in respect of a failure by Subscriber to comply with its payment obligations under the Agreement without first submitting to binding arbitration.

The arbitration award must be expressed in writing and reasoned, being considered final and binding between the parties, in addition to being enforceable in accordance with its terms. The arbitration award may determine the distribution of costs related to the arbitration process, including reasonable attorneys’ fees and disbursements.

The election of the arbitration forum carried out by the parties to this Agreement does not prevent any of the parties from judicially executing the arbitral award or the certain and enforceable obligations under this Agreement.

However, notwithstanding the foregoing, Bentley has the right to commence proceedings against Subscriber in any court in respect of a failure by Subscriber to comply with its payment obligations under the Agreement without first submitting to binding arbitration.

8.     Miscellaneous.

8.1. Assignment. Subscriber shall not assign, transfer, charge, sub- contract, delegate or deal in any other manner with all or any of its rights or obligations under the Agreement without prior written consent by Bentley. For purposes of the Agreement, a change in control of Subscriber shall be considered an assignment for which Bentley’s prior written consent is hereby granted provided that the surviving entity from such change in control must enter into a subscription program agreement with Bentley. Bentley may also at any time assign, transfer, charge, sub-contract, delegate or otherwise deal in any manner with all or any of its rights or obligations under the Agreement to any successor in interest to Bentley’s business or to any legal entity controlling, controlled by, or under common control with the Bentley Contract Entity. Any purported assignment in violation of this provision shall be void and without effect.

8.2. Entire Agreement. The Agreement, together with the Offering Document and any amendments signed in accordance with Section 8.3 of these Terms, if any, incorporates the entire agreement of the parties and supersedes and merges all prior oral and written agreements, past practices, discussions and understandings between the parties with respect to the subject matter hereof. The terms and conditions of the Agreement and of the applicable Bentley confirmation shall apply to each order accepted or shipped by Bentley hereunder. Any additional or different terms or conditions appearing on a purchase order issued by Subscriber hereunder, even if Bentley acknowledges such terms and conditions, shall not be binding on the parties unless both parties expressly agree in a separate writing as provided under these Terms.

8.3. Amendments. The Agreement may only be amended or modified in writing and duly executed by authorized representatives of the parties, provided, however, that any additional or different terms or conditions appearing on a purchase order, even if required to be acknowledged by Bentley, shall not be binding on the parties.

8.4. Force Majeure. Bentley shall not be liable for failure to fulfill the terms of the Agreement due to fire, strike, war, pandemic, acts or restraints of governments or public authorities, acts of God, labor disturbances, terrorist acts, riots or civil commotion, or other causes which are unavoidable and beyond its reasonable control.

8.5. Waiver. The failure of either party to insist upon any of its rights under the Agreement upon one or more occasions, or to exercise any of its rights, shall not be deemed a waiver of such rights on any subsequent occasions.

8.6. Survival. The covenants contained in the Agreement which, by their terms, require or contemplate performance by the parties after the expiration or termination of the Agreement (including, but not limited to, Sections 2, 3, 5, 6, 7 and 8) shall be enforceable notwithstanding said expiration or termination.

8.7. Severability. In case one or more of the provisions contained in the Agreement shall, for any reason, be held invalid, illegal or unenforceable in any respect, such holding shall not affect any other provisions of the Agreement, but the Agreement shall be construed by limiting such provision to such extent as would nearly as possible reflect the intent, purpose and economic effect of such provision, or, if such is not possible, by deleting such provision from the Agreement, provided that such shall not affect the validity of the remaining provisions as contained herein which shall remain in full force and effect in accordance with their terms. The Parties agree to negotiate in good faith in order to replace such invalid provision by such provision which come closest to the content and purpose of the Agreement.

8.8. Independent Contractor. Bentley’s relationship with Subscriber for all purposes hereunder shall be that of an independent contractor and nothing herein shall be construed as creating, at any time, an employer and employee relationship between the parties.

8.9. Change of Ownership. Subscriber shall provide Bentley with sixty (60) days advance written notice of any changes in its ownership or location. If advance notice cannot be given regarding change in ownership due to confidentiality restrictions, Subscriber shall provide such notice as soon as is reasonably possible following the change in ownership.

8.10. Headings. The headings in the Agreement are intended solely for convenience of reference and shall not affect the meaning or interpretation of the Agreement.

8.11. Dual Language. Copies of the Agreement or parts of it may be provided in languages other than English. To the extent of any inconsistency between the terms of the Agreement in English and any translation, the English version shall prevail and be binding upon the Parties. In the event a state/jurisdiction requires local language to prevail, this Section 8.11 will not apply to the extent required to comply with appliable laws.

1.     Definitions.

2.     Support Services.

2.1. Bentley shall provide Technical Support services to Subscriber, which includes electronic mail, and Internet based support to assist Subscribers regarding the use of Bentley Products, and services (however, not to include professional services, managed services or professional training services) and reasonable efforts to respond to technical inquiries within four hours during regular business hours. Technical Support services will be available seven days a week 24 hours per day, provided that after normal business hours at a Subscriber’s regional support location, Subscriber may be required to contact or may receive assistance from another Bentley support center. 2.2. Bentley shall have no obligation to provide a response or other service hereunder if Subscriber’s technical inquiry is caused by: (a) incorporation or attachment of a feature, program, or device to a Product not approved or supplied by Bentley; (b) any nonconformance caused by accident, transportation, neglect, misuse, alteration, modification, or enhancement of a Product, with the exemption of Product customizations performed by Bentley and covered by a separate support and maintenance Offering Document; (c) failure to provide a suitable network environment; (d) use of the Product other than as described in its Documentation or as authorized under this Agreement; or (e) failure to incorporate any maintenance release of a Product or Minor Update previously released by Bentley. Bentley shall offer support services for a given version of a Product for at least twelve months starting on a version release date. Further details regarding Bentley’s Product Lifecycle policy may be found at www.bentley.com/support/bentley-lifecycle-policy.

2.3. If Subscriber experiences a production-stopping anomaly, Bentley will use good faith efforts to create an appropriate solution and deliver it electronically, or through such other means as Bentley may choose in its sole discretion.

3.     Updates.

3.1. Subscriber shall have the right to receive, at no additional charge (other than shipping and handling, if applicable), Major Updates and Minor Updates for each Product covered by the relevant Bentley commercial subscription program as such Major Updates and Minor Updates become available.

3.2. Such Major Updates or Minor Updates may be in downloadable electronic form, or any other means as Bentley may choose from time to time in its sole discretion.

Bentley Services Terms

1.    Definitions.

2.     Professional Services.

2.1. The description of Services Offerings including the output of the Services Offerings, if any (“Work Product”) shall be set forth in one or more Offering Documents. Each Offering Document shall set forth, at a minimum, the work to be done, the number of Bentley’s personnel to be assigned to Subscriber’s work, the duration of each individual’s assignment, and the fees for the work.

2.2. Method of Performance. Bentley, in conjunction with its personnel, will determine the method, details, and means of performing the work to be carried out for Subscriber, including the use of sub-contractors if deemed necessary. Subscriber shall have no right to, and shall not, control the manner or determine the method of accomplishing such work. Subscriber may, however, require Bentley’s personnel to observe at all times the security and safety policies of Subscriber. In addition, Subscriber shall be entitled to exercise a broad general power of supervision and control over the results of work performed by Bentley to ensure satisfactory performance. This power of supervision shall include the right to inspect, stop work, make suggestions or recommendations as to the details of the work, and request modifications to the scope of an Offering Document.

2.3. Scheduling. Bentley will try to accommodate work schedule requests of Subscriber to the extent possible. Should any personnel of Bentley be unable to perform scheduled services because of illness, resignation, or other causes beyond Bentley’s reasonable control, Bentley will attempt to replace such personnel within a reasonable time, but Bentley shall not be liable for failure if it is unable to do so, giving due regard to its other commitments and priorities.

2.4. Reporting. Subscriber will advise Bentley of the individuals to whom Bentley’s manager will report progress on day-to-day work. Subscriber and Bentley shall develop appropriate administrative procedures for performance of work at Subscriber’s site, if necessary. Subscriber shall periodically prepare an evaluation of the work performed by Bentley for submission to Bentley upon Bentley’s request.

2.5. Place of Work. Certain projects or tasks may require Bentley’s personnel to perform work for Subscriber at Subscriber’s premises. In the event that such projects or tasks are required to be performed at Subscriber’s premises, Subscriber agrees to provide working space and facilities, and any other services and materials Bentley or its personnel may reasonably request in order to perform their work. Bentley acknowledges that Subscriber may have on-site safety and quality policies and procedures to which it requires Bentley employee adherence while on-site. Bentley employees will comply with all reasonable industry standard safety and quality requirements, policies and procedures provided to Bentley in advance. Subscriber recognizes that there may be a need to train Bentley’s personnel in the unique procedures used at Subscriber’s location. When Subscriber determines that such training is necessary, Subscriber shall, unless otherwise agreed in writing, pay Bentley for its personnel’s training time.

2.6. Changes in Services. Subscriber or Bentley may request a change to the Services Offerings as set out in an Offering Document, including modification of the Services Offerings or Work Product, such as those outside the original scope of an Offering Document, by submitting such request in writing to the other party (“Change Order”). Change Orders will become effective only when executed by authorized representatives of both parties. All Change Orders must be executed by both parties prior to commencement of the Change Order. If Bentley’s fees or schedule will be impacted by such Change Order, Bentley shall notify Subscriber of such impact prior to Subscriber’s execution of the Change Order.

2.7. Non-Exclusive. Bentley shall retain the right to perform work for others during the term of this Agreement. Subscriber shall retain the right to cause work of the same or a different kind to be performed by its own personnel or other contractors during the term of this Agreement.

2.8. Perpetual License. Upon full payment for the Services Offerings, Bentley shall grant Subscriber a paid-up, perpetual, royalty-free right and license to use the Work Product for Production Use. Bentley retains all right, title and interest to the Work Product not otherwise granted to Subscriber.

2.9. Preexisting Works of Bentley. Bentley hereby reserves and retains ownership of all works which Bentley created unrelated to the Services Offerings performed pursuant to any Offering Document, including but not limited to Products (the “Pre-Existing Works”). Bentley does not grant Subscriber any rights or licenses with respect to the Pre-Existing Works.

2.10. Residuals. It is mutually acknowledged that, during the normal course of its dealings with Subscriber and the Services Offerings, Bentley and its personnel and agents may become acquainted with ideas, concepts, know-how, methods, techniques, processes, skills, and adaptations pertaining to the Services Offerings. Notwithstanding anything in this Agreement to the contrary, and regardless of any termination of this Agreement, Bentley shall be entitled to use, disclose, and otherwise employ any ideas, concepts, know-how, methods, techniques, processes, and skills, adaptations, including generalized features of the sequence, structure, and organization of any works of authorship, in conducting its business (including providing services or creating programming or materials for other customers), and Subscriber shall not assert against Bentley or its personnel any prohibition or restraint from so doing. For the sake of clarity, this Section 2.10 is subject to, and should not be construed to derogate from, Bentley’s confidentiality obligations in Section 2.15.

2.11. Third-Party Interests. Subscriber’s interest in and obligations with respect to any programming, materials, or data to be obtained from third-party vendors, regardless of whether obtained with the assistance of Bentley, shall be determined in accordance with the agreements and policies of such vendors.

2.12. Fees. Bentley shall be paid the fee as specified in each Offering Document, or, if no fee is specified, at Bentley’s customary rates for the level of personnel providing such services. For the sake of clarity, extended project engagements billed on a time and materials basis will be subject to applicable annual rate increases.

2.13. Expenses. Subscriber shall also pay either the actual cost of Bentley’s reasonable travel and living expenses or an agreed-to amount for such travel and living expenses (other than normal commutation travel) for Bentley employees in the performance of Services Offerings set forth in each Offering Document along with all other out- of-pocket expenses incurred by Bentley.

2.14. Estimates. Estimates of total fees for projects may be provided in an Offering Document, but Bentley does not guarantee such estimates. Bentley will, however, notify Subscriber as soon as possible if it will exceed the estimate, and Subscriber may then terminate the project and pay only for services rendered if Subscriber so chooses.

2.15. Confidentiality. In the performance of the Services Offerings, Bentley may acquire information of Subscriber that is proprietary, non-public and identified in writing as confidential by Subscriber. Bentley shall not disclose to anyone not employed by Subscriber nor use except on behalf of Subscriber any such confidential information acquired in the performance of the Services Offerings except as authorized by Subscriber in writing. Bentley shall have no obligation of confidentiality with respect to any information of Subscriber that:

2.15.1. has entered the public domain other than through a breach of this Agreement

2.15.2. has been rightfully obtained by Bentley from a third party with no obligation of confidentiality; or

2.15.3. is previously known by Bentley as demonstrated by clear and convincing evidence.

2.16. Termination of Offering Documents. Subscriber or Bentley may terminate any uncompleted Offering Document at any time by giving thirty (30) days written notice to the other party. Upon such termination, Bentley agrees to stop performing the Services Offerings under the Offering Document in question and to forward to Subscriber all completed or uncompleted drawings, reports or other documents relating to the Services Offerings. In the event of such termination Subscriber shall be liable only for such fees, costs and expenses as have accrued prior to the effective date of such termination.

2.17. Prohibition on Hiring. Subscriber shall not solicit for employment or hire any Bentley employees providing professional services directly or indirectly hereunder for the duration of the Services Offerings, plus a period of one (1) year after completion of the professional services provided hereunder. This Section 2.17 does not apply if an employee responds to a publicly available advertisement for recruitment listed by Subscriber, if Subscriber does not otherwise solicit the employee for the position.

2.18. Survival. The covenants contained in the Agreement which, by their terms, require or contemplate performance by the parties after the expiration or termination of the Agreement (including, but not limited to, Sections 2.7, 2.9, 2.10 2.11 2.13 2.15, 2.16, and 2.17) shall be enforceable notwithstanding said expiration or termination.

1.     Definitions.

The capitalized words, terms and phrases in these Cloud Offering Terms shall have the meanings set forth in the Bentley General Terms and Conditions or as defined below: 1.1. “Data Protection Laws and Regulations” means all laws and regulations, including laws and regulations applicable to the processing of Personal Data as amended from time to time. For the avoidance of doubt, if Bentley’s processing activities involving Personal Data are not within the scope of a given data protection law, such law is not applicable.

1.2. “Data Storage” means the amount of data storage space (including the backup and off-site storage), if any, to be allocated for Subscriber Data within the Bentley environment.

1.3. “Bentley Cloud Offerings” or “Cloud Offerings” mean the Bentley products and services made available to Subscriber and accessed by Users via the internet.

1.4. “Subscriber Data” means data collected or stored by Subscriber using Cloud Offerings, including, but not limited to, financial, business and technical information, engineering plans, customer and supplier information, research, designs, plans, and compilations, but not including any of Bentley’s Proprietary Information.

1.5. “Personal Data” means any information relating to an identified or identifiable (directly or indirectly) natural person processed by Bentley on behalf of Subscriber, the processing of which is subject to applicable law.

2.     Applicability.

3.     Bentley Cloud Offerings.

Cloud Offerings may be accessed by Subscriber under the appliable Program Terms or purchased by Subscriber for additional fees (“Cloud Offering Fees”) to be specified in an Offering Document. The Offering Document may specify the Cloud Offering Fees, any applicable limits and costs to the Cloud Offering including but not limited to, data storage, any applicable services to be delivered for the Cloud Offering such as implementation services. Ongoing management of support of the Cloud Offerings, including system availability and support service level terms applicable to the Cloud Offerings shall be set forth in Bentley’s Service Level Agreement (https://www.bentley.com/legal/sla/). In the event of a conflict between the terms of the Service Level Agreement, these Cloud Offering Terms, and the Bentley General Terms and Conditions, the terms of the Service Level Agreement control solely with respect to the service level obligations contained therein.

4.     Permitted Use.

Bentley will grant Subscriber a non-exclusive, non- transferrable, non-assignable, revocable, limited license to use and access purchased Bentley Cloud Offerings (subject to the terms of any applicable Offering Document, these Cloud Offering Terms and any terms of use (“Terms of Service”) presented upon access) solely Production Use (the “Permitted Use”). Subscriber acquires only the right to use the purchased Cloud Offering and does not acquire any rights of ownership to the Cloud Offering or any part thereof. Bentley and its suppliers retain all rights, title and interest in the Cloud Offering, and any use of the Cloud Offering beyond the Permitted Use shall constitute a material breach of these Cloud Offering Terms; Bentley shall have no liability to Subscriber or any third party in the event of such material breach. In addition to the use restrictions set forth in the Terms of Service, Subscriber’s Permitted Use rights shall be subject to the following conditions:

4.1. Subscriber purchasing against an Offering Document shall not exceed any limits set forth in such Offering Document. In the event use of a Cloud Offering by Subscriber exceeds that purchased by Subscriber as specified in the applicable Offering Document, Bentley may invoice, and Subscriber shall pay, additional Cloud Offering Fees. Bentley shall, in its sole discretion, add such additional fees to subsequent invoices or invoice Subscriber separately.

4.2. In the event of a past due balance, Bentley reserves the right to suspend use of the Cloud Offerings until all past due amounts have been received.

4.3. Bentley reserves the right, but does not assume any responsibility, to modify or suspend use of a Cloud Offering, or any part thereof, if (i) Bentley determines in its sole discretion that such suspension is necessary to comply with any applicable law, regulation or order of any governmental authority or with the terms of its agreement(s) with its third party service providers; or (ii) Bentley determines in its sole discretion that the performance, integrity or security of the Cloud Offerings is being adversely impacted or in danger of being compromised as a result of Subscriber’s or its Users’ access.

4.4. Subscriber shall not tamper in any way with the software or functionality of Cloud Offerings or any part thereof. Without limiting the foregoing, Subscriber agrees not to put any material into the Cloud Offerings which contain any viruses, time bombs, Trojan horses, worms, cancelbots or other computer programming routines that may damage, interfere with, intercept or expropriate any system or data. Subscriber shall not utilize bots, agents, auction crawlers or other computer based crawling programs in conjunction with its use of the Cloud Offerings. Subscriber shall not upload, post or otherwise transmit any content that is unlawful; any content that Subscriber does not have a right to transmit under any law or contractual or fiduciary relationship; or any content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party.

4.5. Subscriber is responsible for ensuring that Users safeguard the credentials, including passwords, used to access the Cloud Offerings and do not to disclose credentials to any third party. Subscriber is responsible for all activity using Subscriber’s accounts, whether or not Subscriber authorized that activity. Subscriber shall immediately notify Bentley of any unauthorized use of Cloud Offerings. Subscriber shall ensure that all User information is current and shall immediately notify Bentley in the event of a change in contact information or other User information.

4.6. Subscriber shall communicate the above listed use restrictions to all Users, including Subscriber employees and External Users accessing or using any Cloud Offerings. The acts or omissions of any such User accessing the Cloud Offerings shall be deemed to be the acts or omissions of the Subscriber, such that Subscriber shall be fully responsible for the performance and fulfillment of all applicable contractual obligations. Subscriber shall indemnify and hold Bentley harmless against all liability resulting from any non-compliance with the terms of this Section 4 by Users, including Subscriber employees and External Users.

5.     Access and Availability.

Subscriber is responsible for providing all equipment and the connectivity necessary to access and use Cloud Offerings via the Internet. Subscriber agrees that from time to time the Cloud Offerings may be inaccessible or inoperable for various reasons, including without limitation (i) system malfunctions; (ii) periodic maintenance procedures or repairs which Bentley or its service provider(s) may undertake from time to time; (iii) compatibility issues with Subscriber’s or a third party’s hardware or software; or (iv) causes beyond the control of Bentley or which are not reasonably foreseeable by Bentley, including network or device failure, interruption or failure of telecommunication or digital transmission links, hostile network attacks or network congestion or other failures (collectively “Downtime”). Bentley shall use reasonable efforts to provide advance notice to Subscriber in the event of any scheduled Downtime, and to minimize any disruption of the Cloud Offerings in connection with Downtime.

6.     Subscriber Data.

Bentley acknowledges, and Subscriber warrants and represents, that Subscriber owns all right, title and interest in Subscriber Data. Subscriber shall indemnify and hold Bentley harmless against all claims against Bentley alleging that the Subscriber Data collected or stored for use with the Bentley Cloud Offerings infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any third party, or in any way violates any privacy or data protection laws. Bentley shall not be responsible for any failure or impairment of the Bentley Cloud Offerings caused by or related to the Subscriber Data. Bentley shall maintain the confidentiality of all Subscriber Data and shall not reproduce or copy such data except as required to as permitted under this Section 6 in connection with providing Cloud Offerings or as may be expressly authorized by Subscriber. If Subscriber Data includes Personal Data and the processing of the same is regulated by Data Protection Laws and Regulations, the parties agree to adhere to the Data Processing Addendum (https://www.bentley.com/legal/data-processing-addendum/). In the event of a conflict between the terms of the Data Processing Addendum, these Cloud Offering Terms, and the Bentley General Terms and Conditions, the terms of the Data Processing Addendum controls solely with respect to the privacy and information security obligations contained therein. Subscriber shall be solely responsible for the Subscriber Data, including without limitation for uploading such data, securing transmission of such data to Bentley, and/or appropriately formatting and configuring such data for use with the Bentley Cloud Offerings. Subscriber agrees and acknowledges that Bentley may from time-to-time collect Usage Data and that all Usage Data shall be owned by Bentley and deemed Bentley Proprietary Information. Subscriber agrees not to alter or interfere with the collection by Bentley of accurate Usage Data.

7.     Termination.

In addition to the termination rights of the parties set forth in Bentley’s General Terms and Conditions, Bentley may terminate a Cloud Offering Subscription, upon written notice, not unreasonably delayed, to Subscriber, in the event of the termination of Bentley’s agreement(s) with its third-party service provider(s). Termination of a Cloud Offering Subscription by either party shall automatically terminate any license granted pursuant to Section 4 of these Cloud Offering Terms.

1.     Definitions.

The capitalized words, terms and phrases used in the Cloud Services Subscription Order Form (“CSS Order Form”) and these Cloud Services Subscription Terms shall have the meanings set forth below or in the Bentley General Terms and Conditions.

2.     Overview.

At Subscriber’s request and upon Bentley’s approval, Subscriber and its authorized Affiliates (as defined in the E365 Program Terms) may participate in the Cloud Services Subscription (“CSS”) program, subject to the terms and conditions stated in these Cloud Services Subscription Terms (“CSS Terms”). To be eligible to participate, Subscriber must be current on all outstanding invoices for amounts owed to Bentley. As a participant in the CSS program, Subscriber agrees to pay payments to Bentley (“CSS Payments”), which can be used to fund Eligible CSS Services (as defined below). Prior to participating in the CSS program, Subscriber shall execute a CSS Order Form, which shall designate the Initial CSS Payment. In the event Subscriber executes multiple CSS Order Forms over time, the CSS Order Form with the most recent execution date shall supersede all previous CSS Order Forms.

3.     Eligible Services.

Bentley services eligible for funding through the CSS program include Term Licenses (as defined in the SELECT Program Terms), CALs (including Visas and Passports) (as defined in the SELECT Program Terms), Cloud Offerings, E365 Program and Recurring Services (“Eligible CSS Services”). Bentley may amend the list of Eligible CSS Services from time to time at Bentley’s sole discretion. Only Eligible CSS Services invoiced for during the CSS subscription are eligible for CSS funding through the CSS program.

4.     Affiliate Participation.

Subscriber acknowledges that its affiliates may utilize Subscriber’s CSS to fund Eligible CSS Services (“Affiliate CSS Transactions”) and hereby authorizes Bentley to hold certain CSS funds in trust for payment of Eligible CSS Services. Subscriber agrees that it shall expressly authorize payment for each Affiliate CSS Transaction.

5.      CSS Payments and Balances.

5.1. Pago inicial de CSS.

Subscriber agrees to pay Bentley an Initial CSS Payment, which is based on a good faith estimate of anticipated fees, including applicable taxes, to be assessed for Eligible CSS Services for a twelve-month period (“Estimated Annual Fees”) beginning with the CSS subscription start date, as indicated on the CSS Order Form. The value of the Initial CSS Payment shall constitute the initial CSS balance (at any time during the CSS Subscription, the “CSS Balance”), which will be drawn down as Eligible CSS Services are consumed.

Subscriber agrees to make additional payments prior to the complete depletion of the CSS Balance. The minimum replenishment amount will be based on the balance of any unpaid invoices for Eligible CSS Services plus the Estimated Annual Fees calculated for a twelve-month period beginning with the approximate date at which the CSS Balance will be depleted. Subscriber may make additional payments at any time, but the minimum value of such replenishment must be the Estimated Annual Fees calculated for a twelve-month period beginning with the date the additional payment is made.

5.3. Pagos de CSS.

Bentley shall issue a payment request to Subscriber for the Initial CSS Payment in accordance with the amount set forth in the CSS Order Form (hereinafter “Payment Request,” which may refer to any payment request document entitled “Payment Request,” “Invoice” or similar identifier). Payment terms shall be as set forth in the Bentley General Terms and Conditions. Thereafter, Bentley may issue additional Payment Requests to replenish the CSS Balance (as defined in Section 5.2 herein). In the event of a Payment Request that is past due, Bentley may in addition to exercising any rights provided in Section 2.1 of Bentley’s General Terms and Conditions, take technical measures aimed at restricting or discontinuing Subscriber’s Use of the Eligible Services. Subscriber’s failure to cure such non-payment within thirty (30) days may, in Bentley’s sole discretion, be deemed an effective termination of Subscriber’s participation in the CSS program, in which case:

5.3.1. To the extent that the technical measures referenced above in this Section 5.3 did not include cessation of access to Eligible CSS Services, such access shall cease upon termination;

5.3.2. Subscriber will be invoiced for Eligible CSS Services provided during such period; and

5.3.3. Bentley will return any remaining CSS funds in accordance with Section 6.2 herein.

5.4. Estados de cuenta de CSS.

6.3. Conflictos.

En caso de discrepancia entre los Términos de la Suscripción a los Servicios en la Nube y el Contrato o cualquier otro término y condición aplicable de Bentley, los Términos de la Suscripción a los Servicios en la Nube prevalecerán con respecto a la participación del Suscriptor en el programa CSS.

Reino Unido 5.6 Insofar as this Agreement is not an international supply contract within the meaning of section 26 of the Unfair Contract Terms Act 1977, Bentley does not exclude liability for (a) death or personal injury caused by the negligence of Bentley, its officers, employees, contractors or agents; (b) fraud or fraudulent misrepresentation; (c) breach of the obligations implied by section 12 of the Sale of Goods Act 1979 or section 2 of the Supply of Goods and Services Act 1982; or (d) any other liability which may not be excluded by law. 1. Definiciones.  

Las palabras, términos y frases en mayúsculas que aparecen en el presente tendrán los significados que se indican a continuación: 

1.1. Acuerdo" se define según se establece en los Términos del programa.  

1.2. Bentley” significa la Entidad Contractual Bentley así como cualquier persona jurídica que la controle, esté controlada por ella o bajo el control común de la Entidad Contractual Bentley, incluidas entre otras, cualquier persona jurídica creada o adquirida durante el período de vigencia del presente Contrato. 

1.3.Entidad Contractual Bentley" significa la entidad Bentley aplicable definida en el artículo 7 de estos Términos para el otorgamiento de la licencia de los Productos y servicios Bentley. 

1.4. Los términos “Productos Bentley" o o “Productos” hacen referencia a los productos de software, datos y otros materiales, (incluidos los productos de software, los datos y otros materiales adquiridos por Bentley durante la vigencia de un Contrato) que Bentley haya distribuido o vaya a distribuir a través de mecanismos de entrega determinados a exclusivo criterio de Bentley puestos a disposición del Suscriptor por Bentley normalmente en forma de Código de Objeto únicamente, para el otorgamiento de licencias en virtud del presente, incluidas las Actualizaciones Significativas y Actualizaciones Menores. 

1.5. El término "Socio de canal" o "Socio de canal Bentley" hace referencia a las personas físicas y jurídicas que estén autorizadas por Bentley a prestar servicios de asistencia técnica según lo indicado en los Términos de Asistencia y Mantenimiento.  

1.6. "País" significa el país (I) en el que se obtenga por primera vez el Producto de Bentley o de un Socio del Canal de Distribución; o (II) en el que, según lo especificado en el pedido de compra, pueda hacerse una copia del Producto para Uso Productivo, o en el que esté autorizado el uso del Producto. 

1.7. “Dispositivo” se refiere a un equipo personal, estación de trabajo, terminal, equipo portátil, dispositivo móvil, servidor u otro dispositivo electrónico. 

1.8. El término “Distribuir” significa la distribución realizada por Bentley por todos los medios conocidos en la actualidad o que se desarrollen en un futuro. 

1.9. El término “Documentación” significa recursos en forma de información descriptiva, interactiva o técnica relativa a los Productos u Ofertas en la Nube. 

1.10. El término “Fecha efectiva” significa la fecha en que el Suscriptor firma el Documento de Oferta que hace referencia a los Términos del Programa aplicables, o de alguna otra manera acepta el Documento de Oferta por escrito. 

1.11. El término “Producto elegible” significa un Producto Bentley según se designe en la Lista de Elegibilidad del Programa de Licencias de Bentley, que se puede consultar en www.bentley.com/wp-content/uploads/Licensing-Program-Eligibility-List.pdf, que si no integra la lista no podrá ser incluido en dicho programa o Suscripción. 

1.12. “Usuario Externo” significa cualquier Usuario (excluidas las organizaciones) que no sea: 

1.12.1. empleado de dedicación exclusiva, parcial o temporaria del Suscriptor o  

1.12.2. personal de alguna agencia de trabajo temporal o contratista independiente contratado para un Uso Productivo del producto y que se desempeñe bajo la supervisión y el control del Suscriptor. 

1.13. El término “Actualización significativa” significa una versión comercial de un Producto que disponga de una funcionalidad sustancial agregada a las que ya tiene el Producto que pretende sustituir. 

1.14. El término "Actualización menor" significa una versión de mantenimiento de un Producto. 

1.15. El término “Código Objeto” significa los Productos que están en formato legible por una máquina no aptos para que el ser humano pueda comprender la lógica del programa, y que un equipo pueda ejecutarlos utilizando el sistema operativo adecuado, sin compilación ni interpretación. El Código Objeto excluye expresamente al código fuente. 

1.16. El término “Documento de oferta” significa una oferta comercial de Bentley realizada por escrito que se podría denominar propuesta, orden de trabajo, declaración de trabajo, cotización o formulario de pedido. 

1.17. "Uso de Producción" significa que el uso de un Producto Bentley en forma de Código Objeto por parte de un Usuario o Dispositivo, según corresponda, es únicamente a los efectos de la producción interna del Suscriptor, excluidos los Usuarios Externos (excepto en lo referido al acceso a los Productos de Servidor). 

1.18. Por “Términos del programa” se entiende los términos y condiciones pertinentes que rigen un programa de suscripción de Bentley. 

1.19. El término "Información de Propiedad Exclusiva" hace referencia a toda información confidencial, propiedad de Bentley o técnica relativa a los Productos Bentley y a la tecnología y las prácticas comerciales de Bentley. 

1.20. El término “Número de Serie” significa un número único que Bentley otorga a efectos de identificación de una copia específica de un Producto, el cual será registrado a nombre del Suscriptor que a su vez lo asignará a una copia específica de dicho Producto. 

1.21. El término “Producto de Servidor” significa un Producto que reside en el servidor y proporciona funciones a las que el Usuario accede conectándose al servidor mediante aplicaciones cliente o aplicaciones para móvil. Dicho servidor puede residir: I) en un Producto de Servidor desplegado bajo la protección del cortafuegos del Suscriptor y/o dentro de la red del Suscriptor, II) en un Producto de Servidor otorgado bajo licencia por una organización externa o III) por Bentley en la forma de un servicio basado en la nube. 

1.22. El término "Sitio" significa una o más de las localizaciones geográficas utilizadas o gestionadas por el Suscriptor para operar con los Productos dentro de los límites geográficos de un mismo país. 

1.23. El término “Suscriptor” tendrá la definición que se indica en el Documento de Oferta pertinente, y en lo que respecta al Uso de Productos el término “Suscriptor” hace referencia: (I) a alguno de los empleados de dedicación exclusiva, parcial o temporaria del Suscriptor; o (II) al personal de alguna agencia de trabajo temporal o contratista independiente contratado para un Uso Productivo que se desempeñe bajo la supervisión y el control directo del Suscriptor. 

1.24. El término “Servicio de Derechos de Suscripción” o "SES" hace referencia al servicio de gestión de licencias en la nube de Bentley o cualquier herramienta de Bentley que la suceda para la administración de las licencias. 

1.25. El término “Cargo de Suscripción” significa el cargo pagadero por una suscripción según lo publicado oportunamente por Bentley a su entera discreción. 

1.26. “Plazo de Suscripción” se define según se establece en el Documento de Oferta o los Términos del Programa pertinentes. 

1.27. Por “Asistencia Técnica” se entiende la asistencia suministrada al Suscriptor a través de Internet o por correo electrónico según se describe en los Términos de Asistencia y Mantenimiento y los Términos del Programa pertinentes. 

1.28. El término “Relojes de Control Temporal” significa mecanismos de protección anticopia u otros dispositivos de seguridad que puedan desactivar los Productos con posterioridad al vencimiento del Contrato, del Período de Suscripción correspondiente o de cualquier período de renovación contemplado. 

1.29. Datos de uso” significa los datos o la información que Bentley recopile en relación con la instalación del Suscriptor, su acceso o uso de los Productos, características y funcionalidad del Producto, Ofertas en la Nube (según se define en los Términos de las Ofertas en la Nube) y otros servicios de Bentley que incluyen entre otros, las estadísticas de uso, tales como volumen de uso, duración del uso, tiempo de uso, cantidad de usuarios, funciones usadas y la ubicación de los usuarios, pero sin contener ningún dato de identificación personal. 

1.30. El término “Uso” (aun cuando no esté en mayúsculas) significa la utilización del Producto por una persona física. 

1.31. El término “Usuario” significa una persona física. 

1.32. El término “Entorno Virtualizado” significa un sistema que proporciona acceso remoto a aplicaciones de software para uno o más usuarios. 

2. Pago de las facturas de Bentley 

2.1. Términos de pago. Salvo especificación en contrario que conste en el Documento de Oferta, el Suscriptor pagará todas las facturas o Solicitudes de Pago de CSS de Bentley respecto de todas las licencias sobre los Productos (incluidas las Licencias de Suscripción a Productos y Licencias por Plazo) y por los servicios prestados por Bentley dentro de los treinta (30) días de la fecha de dicha factura. Se devengarán intereses sobre los pagos en mora de dichas facturas, a la tasa del uno y medio por ciento (1,5 %) mensual o a la tasa más alta que permita la ley aplicable, la menor de ambas. En caso de que un pago adeudado a Bentley se encuentre en mora, Bentley, a su entera discreción, podrá suspender, o bien, previa notificación de dicha falta de pago y la concesión de un período para subsanar el incumplimiento de treinta (30) días, dar por finalizados el acceso y uso por parte del Suscriptor a los Productos y los servicios y derechos asociados y las licencias del Suscriptor proporcionados por Bentley. 

2.2. Impuestos. El Suscriptor deberá pagar a Bentley todos los impuestos gravados que Bentley deba recaudar del Suscriptor en virtud de la ley aplicable, incluidos, entre otros, los impuestos sobre las ventas, el uso, la ocupación, el valor agregado, los impuestos especiales y sobre el patrimonio (excepto los impuestos sobre la renta neta de Bentley). En caso de que el Suscriptor se vea obligado, conforme a la legislación vigente, a retener o deducir algún impuesto de un pago a Bentley, el Suscriptor deberá entregar a Bentley los comprobantes de pago originales que confirmen el pago de dichos impuestos por parte del Suscriptor. 

2.3. Registros; Auditoria. El Suscriptor llevará un registro completo y exacto de las licencias de Productos adquiridas y de la creación y uso de los Productos, a fin de que Bentley pueda determinar si el Suscriptor cumple o no con las obligaciones relativas a las licencias. Estos registros incluirán el sitio y la identificación del hardware del Suscriptor en el que el Suscriptor use cada copia de los Productos e identificarán a los Usuarios a los que el Suscriptor ha asignado las licencias. Ante la sospecha por parte de Bentley de que los Datos de Uso están incompletos, no son exactos o muestran indicios de falta de cumplimiento de los derechos otorgados al Suscriptor, Bentley puede solicitar y el Suscriptor deberá, dentro de un período razonable contado a partir de la recepción de la notificación de Bentley, presentar un informe escrito con registros respaldatorios para cumplir con los requisitos de mantenimiento de registros de este artículo 2.3. En caso de que el informe escrito no satisfaga los requisitos de Bentley, Bentley podrá solicitar, previa notificación por escrito con siete (7) días de antelación, y el Suscriptor deberá permitir una inspección razonable de dichos registros y su copia por parte de Bentley o de un auditor tercero contratado por Bentley. 

 3. Derechos de Propiedad Intelectual. 

3.1. Titularidad; Reserva de DerechosEl Suscriptor acepta y reconoce que: 

3.1.1 Los Productos, incluida la Documentación correspondiente a cada Producto, y cualquier información que el Suscriptor obtenga a través de cualquier medio de transmisión electrónica, contienen Información de Propiedad Exclusiva de Bentley, de sus licenciantes y de otros proveedores, y están protegidos por las leyes de derechos de autor de los Estados Unidos, por otras leyes de derechos de autor aplicables, por otras leyes relativas a la protección de la propiedad intelectual, y por disposiciones de tratados internacionales. 

3.1.2. El derecho, la titularidad y los privilegios sobre los Productos, la Documentación, cualquier información que el Suscriptor obtenga a través de cualquier otro medio de transmisión electrónica, y sobre todos los derechos de propiedad intelectual asociados, seguirán perteneciendo a Bentley o a sus licenciantes. 

3.1.3. Los Productos se otorgan bajo licencia, pero no se venden, y la titularidad de cada copia de los Productos seguirá perteneciendo a Bentley o a sus licenciantes, y no se transmitirá al Suscriptor y 

3.1.4. Bentley conserva todos los derechos que no se concedan expresamente. 

3.2. Código Fuente. En virtud del presente Contrato, el Suscriptor no tendrá derecho alguno a recibir, revisar, usar o acceder de cualquier otra forma al código fuente de los Productos. 

3.3. Avisos de Derechos de Autor. El Suscriptor reproducirá e incluirá en todas las copias de los Productos creadas por el Suscriptor todos los avisos de derechos de autor y las leyendas de propiedad de Bentley o sus licenciantes, tal y como aparecen en los soportes originales que contienen los Productos proporcionados por Bentley. 

3.4. Datos de usoEl Suscriptor acepta que Bentley recabe oportunamente Datos de Uso, y que todos los Datos de Uso pertenecen a Bentley y se consideran Información de Propiedad Exclusiva de Bentley. El Suscriptor se compromete a no alterar ni interferir con la recopilación por parte de Bentley de Datos de Uso exactos. 

3.5. DocumentaciónJunto con sus Productos u Ofertas en la Nube, Bentley podrá proporcionar al Suscriptor cierta Documentación. La Documentación es Información de Propiedad Exclusiva de Bentley. Bentley concede por el presente al Suscriptor una licencia limitada intransferible y no exclusiva para utilizar dicha Documentación en apoyo del Uso Productivo. 

3.6. Ingeniería Inversa. El Suscriptor no podrá descodificar, ni someter a procedimientos de ingeniería inversa, ensamblaje inverso o compilación inversa, ni de alguna otra manera traducir los Productos o la Documentación, salvo en la medida en que tales actividades estén expresamente permitidas por la ley aplicable a pesar de esta limitación. En la medida en que el Suscriptor quede autorizado expresamente por la ley a realizar cualquiera de las actividades indicadas en la frase anterior, el Suscriptor no ejercerá tales derechos hasta que haya notificado por escrito a Bentley con treinta (30) días de antelación de su intención de ejercer tales derechos. 

3.7. Información de Propiedad Exclusiva de Bentley.. 

3.7.1. El Suscriptor entiende y acepta que Bentley podrá, en relación con la prestación de Productos y servicios, divulgar al Suscriptor Información de Propiedad Exclusiva de Bentley. El Suscriptor acepta tratar toda la Información de Propiedad Exclusiva de Bentley según lo dispuesto en este artículo 3.7. 

3.7.2. El Suscriptor mantendrá la confidencialidad de toda la Información de Propiedad Exclusiva de Bentley. El Suscriptor no podrá reproducir ni copiar la Información de Propiedad Exclusiva de Bentley a excepción de lo permitido en el Contrato o si así lo autorizara Bentley expresamente por escrito y por anticipado. El Suscriptor deberá incluir en tales copias una mención sobre la exclusividad y confidencialidad de tal información. 

3.7.3. El Suscriptor sólo podrá utilizar la Información de Propiedad Exclusiva de Bentley en apoyo de la ejecución del Contrato, y sólo podrá divulgar la Información de Propiedad Exclusiva de Bentley a aquellos empleados que tengan que conocerla para poder cumplir sus funciones en virtud del Contrato. El Suscriptor no divulgará ni facilitará Información de Propiedad Exclusiva de Bentley a ningún tercero en ningún momento. 

3.7.4. El Suscriptor tratará la Información de Propiedad Exclusiva de Bentley con el mismo grado de diligencia que aplica para proteger su propia información confidencial, y nunca con un grado de diligencia inferior al razonable. 

3.7.5. En ocasión de la rescisión o no renovación del Contrato, el Suscriptor devolverá a Bentley toda la Información de Propiedad Exclusiva de Bentley que obre en su poder, o bien la destruirá si así lo solicitara Bentley. 

3.7.6. El Suscriptor no tendrá ninguna obligación de confidencialidad con respecto a la Información de Propiedad Exclusiva de Bentley que (I) se haya convertido en información de dominio público por otro motivo que no sea un incumplimiento del Contrato, (II) el Suscriptor haya obtenido legítimamente de un tercero sin obligación de confidencialidad, o (III) el Suscriptor conociera previamente, demostrándose esta circunstancia mediante pruebas claras y convincentes. 

3.7.7. El Suscriptor informará sin demora a Bentley cuando tenga conocimiento de cualquier uso no autorizado, real o potencial, o de cualquier divulgación de la Información de Propiedad Exclusiva de Bentley. 

3.7.8. Bentley reconoce por el presente que la divulgación total o parcial del Contrato por parte del Suscriptor puede estar sujeta a las leyes del estado del Suscriptor, tales como las leyes de registros públicos o de libertad de la información. La no divulgación total o parcial del Contrato puede depender de decisiones oficiales o judiciales tomadas de conformidad con tales leyes en los casos en que el Suscriptor reciba una petición por parte de un tercero para divulgar información designada por Bentley como “información confidencial”.  

3.7.9. En tales casos, el Suscriptor deberá notificar a Bentley de dicha petición dentro de un período razonable y Bentley será el único responsable de defender su posición respecto de la confidencialidad de la información solicitada. Ni el Suscriptor ni ninguno de sus representantes está o estará obligado a asistir a Bentley en su defensa. En caso de que el Suscriptor divulgue dicha información, la divulgación deberá responder a la decisión oficial o judicial y solo en la medida en que lo exija la ley aplicable. 

3.8. Evaluaciones comparativas. El Suscriptor no podrá divulgar a ningún tercero los resultados de las pruebas realizadas a los Productos, ni siquiera los de las evaluaciones comparativas, sin haber obtenido previamente el consentimiento por escrito de Bentley. 

4. Uso de Productos Bentley en un Entorno Virtualizado 

4.1. El Suscriptor podrá usar los Productos Bentley para Uso en Producción únicamente en una red de equipos multiusuario en un Entorno Virtualizado sujeto a las condiciones que establece este artículo 4. 

4.2. El Suscriptor reconoce que los Productos Bentley no están certificados en el presente para su uso en todos los Entornos Virtualizados y que el Suscriptor es el único responsable de realizar pruebas y prestar asistencia técnica a los Productos Bentley en lo que respecta a su uso en un Entorno Virtualizado no certificado. 

4.3. El Suscriptor acepta por el presente utilizar SES para permitir el adecuado monitoreo del Uso de los Productos Bentley dentro del Entorno Virtualizado de modo que cada sesión iniciada en el Entorno Virtualizado requiera su propia licencia exclusiva. 

4.4. Entornos Virtualizados certificados. 

4.4.1. Para obtener más información, incluida la lista de Entornos Virtualizados certificados de Bentley, y las actualizaciones a la Política de Bentley, diríjase a https://aka.bentley.com/VirtualizedEnvironments (“VE Wiki”). 

4.4.2. Los Productos Bentley usados en un Entorno Virtualizado sin certificación de Bentley y que figuren en VE Wiki quedarán excluidos de las garantías que se ofrecen en el presente.  

4.4.3. Bentley no prestará al Suscriptor servicios de asistencia técnica respecto de problemas, errores u otras dificultades operativas causadas o relacionadas con el uso de Productos Bentley en un Entorno Virtualizado que no haya sido certificado por Bentley y que no figure en VE WiKi. 

4.5. Para evitar confusiones, el derecho de uso del Suscriptor en un Entorno Virtualizado caducará en caso de que se termine o no se renueve el Contrato, aunque se haya concedido una licencia permanente sobre los productos. 

5. Garantía Limitada; Limitación de Vías de Resarcimiento y Responsabilidad 

5.1. Garantía Limitada para el Suscriptor. Excepto para los Productos licenciados sin cargo, que se proporcionan al Suscriptor “TAL CUAL” y sin garantía de ningún tipo, Bentley garantiza en beneficio únicamente del Suscriptor que (a) por un período de noventa (90) días (”Periodo de Garantía”) desde la fecha de la entrega al Suscriptor de un Número de Serie o de un Producto, según sea el caso, el Producto, si se usa normalmente, cumplirá sustancialmente con las especificaciones funcionales que se indican en la Documentación aplicable a dicho Producto, y (b) durante un período de noventa (90) días a partir de la fecha de entrega de otros productos y materiales proporcionados por Bentley al Suscriptor, si se usan normalmente, funcionarán sustancialmente de acuerdo con la documentación de Bentley aplicable a tales productos y materiales. En el caso de que el Suscriptor realice u ordene realizar cualquier tipo de modificación, mejora o cambio de los Productos, de que los Productos se sometan a actividades de ingeniería inversa, descompilación o desensamblaje o de que el Suscriptor incumpla los términos y condiciones de este Contrato, las garantías que se otorgan en este artículo se darán por finalizadas inmediatamente. Esta garantía limitada concede al Suscriptor derechos legales específicos, aunque es posible que el Suscriptor tenga otros derechos según el estado o jurisdicción pertinente. 

5.2. Exclusión de Garantías. LAS GARANTÍAS QUE SE INDICAN EN EL ARTÍCULO 5.1 ANTERIOR SON LAS ÚNICAS Y EXCLUSIVAS GARANTÍAS DE BENTLEY CON RESPECTO A LOS PRODUCTOS, A LOS SERVICIOS DE ASISTENCIA TÉCNICA Y A OTROS MATERIALES Y SERVICIOS PARA LOS QUE BENTLEY CONCEDE UNA LICENCIA O BIEN ENTREGA O PROPORCIONA DE ALGUNA OTRA MANERA CONFORME A LO DISPUESTO EN ESTE CONTRATO. BENTLEY NO GARANTIZA QUE LOS PRODUCTOS, LOS SERVICIOS DE ASISTENCIA TÉCNICA, NI CUALESQUIERA OTROS SERVICIOS O MATERIALES, VAYAN A SATISFACER LAS NECESIDADES DEL SUSCRIPTOR, ESTÉN LIBRES DE VIRUS O FUNCIONEN ININTERRUMPIDAMENTE Y SIN ERRORES. POR EL PRESENTE, BENTLEY RECHAZA CUALQUIER OTRA GARANTÍA, TANTO LAS GARANTÍAS LEGALES COMO LAS EXPRESAS O IMPLÍCITAS, INCLUIDAS LAS GARANTÍAS DE AUSENCIA DE INFRACCIÓN Y LAS GARANTÍAS IMPLÍCITAS DE COMERCIABILIDAD, DE CALIDAD SATISFACTORIA Y DE APTITUD PARA UN PROPÓSITO DETERMINADO. ES POSIBLE QUE ESTAS EXCLUSIONES NO SE APLIQUEN AL SUSCRIPTOR, PUESTO QUE DETERMINADOS ESTADOS O JURISDICCIONES NO PERMITEN LA EXCLUSIÓN DE DETERMINADAS GARANTÍAS. 

5.3. Única Vía de Resarcimiento. La responsabilidad completa de Bentley, y la única y exclusiva vía de resarcimiento del Suscriptor para los reclamos en virtud del artículo 5.1 anterior, consistirá, a entera y absoluta discreción de Bentley, en (I) reparar o sustituir un Producto u otro material que incumpla las garantías antedichas, (II) informar al Suscriptor sobre cómo lograr la misma funcionalidad para el Producto que se describe en la Documentación utilizando un procedimiento distinto al que se indica en la Documentación, o (III) devolver el precio de compra o los cargos pagados, siempre que se notifique a Bentley por escrito sobre dicho incumplimiento, especificando el defecto, durante la vigencia del Período de garantía. Los Productos y la Documentación reparados, corregidos o sustituidos quedarán cubiertos por esta garantía limitada durante un plazo de noventa (90) días desde la fecha en que: (a) se hayan enviado al Suscriptor los Productos y la Documentación reparados o sustituidos, o (b) Bentley haya informado al Suscriptor sobre cómo hacer funcionar los Productos de manera que logren la funcionalidad descrita en la Documentación. 

5.4. Exclusión de Daños. BENTLEY, SUS LICENCIANTES Y PROVEEDORES NO SERÁN EN NINGÚN CASO RESPONSABLES ANTE EL SUSCRIPTOR DEL LUCRO CESANTE, LA REDUCCIÓN DE SUS INGRESOS, LA DISMINUCIÓN DE SU FONDO DE COMERCIO, LOS DAÑOS A SU REPUTACIÓN, LA INTERRUPCIÓN DEL NEGOCIO, LOS DAÑOS O PÉRDIDA DE DATOS O DOCUMENTACIÓN, LOS COSTOS POR RETRASOS, LOS DAÑOS INDIRECTOS, ACCESORIOS, CUANTIFICABLES O EMERGENTES, SEA CUAL FUERE LA NATURALEZA DEL RECLAMO, INCLUIDOS, ENTRE OTROS, LA PÉRDIDA DE USO, LA PÉRDIDA DE CONEXIÓN A SERVICIOS ONLINE O SU FALTA DE ENTREGA, O RESPONSABILIDADES ANTE TERCEROS, SEA CUAL FUERE SU ORIGEN, INCLUSO AUNQUE BENTLEY HUBIERA SIDO INFORMADO, TUVIERA CONOCIMIENTO O DEBERÍA HABER TENIDO CONOCIMIENTO DE LA POSIBILIDAD DE TALES DAÑOS O RECLAMOS. COMO ALGUNAS JURISDICCIONES NO PERMITEN LA EXCLUSIÓN O LIMITACIÓN DE RESPONSABILIDAD POR DAÑOS EMERGENTES O ACCESORIOS, ES POSIBLE QUE ESTA LIMITACIÓN NO SEA DE APLICACIÓN AL SUSCRIPTOR. 

5.5. Exención de Responsabilidad. El Suscriptor acepta que los Productos no son tolerantes a fallas y que no se han diseñado, fabricado, ni pensado para usarlos, ni se utilizarán para el desarrollo de armas de destrucción masiva, como equipo de control en línea en entornos peligrosos que requieran un rendimiento a prueba de fallas, como por ejemplo en el funcionamiento de instalaciones nucleares, sistemas de navegación o comunicación aérea, control de tráfico aéreo, máquinas de soporte vital directo, o sistemas armamentísticos, en los que la falla de los Productos pudiera suponer directamente la muerte, lesiones personales, o daños físicos o medioambientales graves. El Suscriptor acepta además que los Productos no sustituyen al criterio profesional del Suscriptor y por lo tanto, ni Bentley ni sus licenciantes ni sus proveedores son responsables del uso de los Productos por parte del Suscriptor ni de los resultados obtenidos de dicho uso. Los Productos sólo pretenden ayudar al Suscriptor en su actividad comercial, y no sustituyen a las pruebas y verificaciones independientes de estrés, seguridad, utilidad u otros parámetros de diseño que debe realizar el Suscriptor. 

5.6. Limitación de la Responsabilidad de Bentley. SI PESE A LO DISPUESTO EN LOS ARTÍCULOS 5.1, 5.2, 5.3, 5.4 Y 5.5 DEL PRESENTE, BENTLEY RESULTA SER RESPONSABLE DE DAÑOS CAUSADOS POR UN INCUMPLIMIENTO, DEFECTO, DEFICIENCIA O NO CONFORMIDAD DE UN PRODUCTO, DE LOS SERVICIOS DE ASISTENCIA TÉCNICA O DE CUALQUIER OTRO SERVICIO O MATERIAL, BIEN POR VÍA CONTRACTUAL O POR RESPONSABILIDAD EXTRACONTRACTUAL Y AUNQUE CUALQUIER VÍA DE RESARCIMIENTO DE LAS AQUÍ CONTEMPLADAS NO CUMPLA SU PROPÓSITO ESENCIAL CONTEMPLADO EN LA LEY, LA RESPONSABILIDAD TOTAL DE BENTLEY DERIVADA DEL PRESENTE NO SUPERARÁ AL PRECIO PAGADO POR EL SUSCRIPTOR POR (I) DICHO PRODUCTO, (II) LOS CARGOS POR LA SUSCRIPCIÓN A LOS PRODUCTOS CORRESPONDIENTES A LOS DOCE (12) MESES PREVIOS A UN RECLAMO APLICABLE RESPECTO DE UNA LICENCIA DE SUSCRIPCIÓN A UN PRODUCTO (III) LOS CARGOS POR SUSCRIPCIÓN AL PROGRAMA CORRESPONDIENTES A LOS DOCE (12) MESES PREVIOS A UN RECLAMO APLICABLE RESPECTO DEL PROGRAMA DE SUSCRIPCIÓN COMERCIAL DE BENTLEY PERTINENTE O (IV) CUALQUIER OTRO SERVICIO O MATERIAL DEFECTUOSO, SEGÚN SEA EL CASO. LAS DISPOSICIONES DEL CONTRATO REPARTEN LOS RIESGOS ENTRE BENTLEY Y EL SUSCRIPTOR. LOS PRECIOS DE BENTLEY REFLEJAN ESTE REPARTO DEL RIESGO Y LA LIMITACIÓN DE LA RESPONSABILIDAD QUE AQUÍ SE ESPECIFICA. 

5.7. Indemnización por parte de Bentley. 

5.7.1. Bentley pagará cualquier indemnización por daños y perjuicios que en virtud de una sentencia firme deba pagar el Suscriptor a resultas de un reclamo presentado contra el Suscriptor en el que se alegue que un Producto que haya sido desarrollado por Bentley y que sea propiedad de Bentley infringe los derechos de autor de un tercero en cualquier país firmante del Tratado de Berna o supone la apropiación indebida de un secreto comercial de un tercero en el País en el que el Suscriptor haya sido autorizado a hacer un Uso en Producción del Producto objeto de dicho reclamo, siempre que el Suscriptor proporcione a Bentley: (a) notificación por escrito inmediata de dicho reclamo, (b) toda la información y ayuda disponibles, y (c) la oportunidad de ejercer el control único de la defensa y la liquidación de dicho reclamo. 

5.7.2. Bentley también tendrá derecho, a su costo, a procurar que el Suscriptor tenga derecho a continuar usando el Producto, o bien a sustituir o modificar dicho Producto de manera que no incurra en ninguna infracción. Si Bentley no dispone de ninguna de las alternativas antedichas en las condiciones que Bentley, a su entera discreción, considere convenientes, el Suscriptor, cuando así se lo solicite por escrito Bentley, deberá devolver a Bentley el Producto presuntamente infractor, en cuyo caso Bentley devolverá al Suscriptor el precio pagado por el Suscriptor por cada copia de dicho Producto devuelto, menos el veinte por ciento (20 %) por cada año transcurrido desde el inicio de la licencia de dicha copia. La responsabilidad de Bentley para con el Suscriptor en virtud de este inciso 5.7.2 no podrá superar en ningún caso los cargos por licencia abonados por el Suscriptor por el Producto presuntamente infractor. 

5.7.3. Bentley no tendrá responsabilidad alguna y este resarcimiento no será de aplicación si la infracción que se alega es relativa a un Producto que no ha sido desarrollado por Bentley ni es propiedad de Bentley, o si se debe a una modificación que haya realizado el Suscriptor en el Producto o a la combinación, funcionamiento o uso de un Producto con otro software que no provenga de Bentley, o si el Suscriptor está incumpliendo el Contrato. Bentley tampoco tendrá responsabilidad alguna, y no será de aplicación esta indemnización, en lo que respecta a aquella parte de un reclamo de infracción que se base en el uso de una versión antigua o modificada de un Producto si la infracción pudiera haberse evitado utilizando una versión del Producto actualizada y no modificada. 

Esta cláusula 5.7 establece la única vía de resarcimiento del Suscriptor en lo que respecta a la infracción de derechos de propiedad intelectual. 

5.8. Antivirus Software. Bentley utilizará software y procedimientos antivirus actualizados disponibles en el mercado en todos los Productos antes de ponerlos a disposición del Suscriptor. 

6. Sanciones y controles a la exportación. 

El Software está sujeto a las sanciones, leyes de controles de las exportaciones, reglamentaciones y requisitos de EE.UU., además de las sanciones y leyes de controles de las exportaciones, reglamentaciones y requisitos de otras entidades o autoridades fuera de los EE.UU. (en conjunto “Sanciones y controles de exportación"). Aunque el Suscriptor informe a Bentley del destino último del software, el Suscriptor no podrá exportar, reexportar ni transmitir, ni directa ni indirectamente, el software, ni ninguna parte de él, ni ningún sistema que contenga dicho software ni ninguna de sus partes sin cumplir previamente, de manera estricta y completa, con toda las Sanciones y Controles a la Exportación que puedan imponerse al software y/o a la exportación, reexportación o transferencia, directa o indirecta del software y las transacciones relacionadas pertinentes. Las entidades, usuario finales y países a los que el Gobierno de Estados Unidos u otras entidades o autoridades fuera de Estados Unidos aplica estas restricciones pueden cambiar, y será responsabilidad del Suscriptor cumplir con los requisitos del Gobierno de Estados Unidos o de otras entidades o autoridades fuera de Estados Unidos, atendiendo a todas las modificaciones que se hagan en un futuro. El Suscriptor resarcirá, defenderá y exonerará de responsabilidad a Bentley por cualquier incumplimiento de sus obligaciones contempladas del artículo 6. 

7. Entidad Bentley, Ley Aplicable, Resolución de Disputas y Notificaciones 

Depending on where Subscriber’s principal place of business is (or if Subscriber is an individual, where the Subscriber is resident), the Agreement is between Subscriber and the Bentley entity set out below. The Agreement will be governed by and construed in accordance with the substantive laws in force in the respective country specified in the below table. To the maximum extent permitted by applicable law, the parties agree that the provisions of the United Nations Convention on Contracts for the International Sale of Goods, as amended, and the provisions of the Uniform Computer Information Transactions Act, as they may have been or hereafter may be in effect in any jurisdiction, shall not apply to the Agreement. Any dispute, controversy or claim between the parties arising under the Agreement shall be resolved pursuant to the applicable dispute resolution provision set out below. Notices under this Agreement shall be made or given by hand delivery, prepaid certified mail, next day air delivery, or electronically, and the date upon which any such notice is received at the designated address shall be deemed to be the date of such notice. All notices sent under the Agreement shall be addressed, if to Bentley, to the attention of the Bentley Legal Department and addressed to the applicable Bentley entity according to the below table or via email to [email protected], and if to Subscriber, to the (e-mail) address and authorized representative identified in writing to Bentley.

Cada una de las partes asumirá el pago de los honorarios de abogados, costos y expensas en los que haya incurrido con motivo de dicho arbitraje. No obstante lo anterior, Bentley tiene derecho a interponer recursos contra el Suscriptor en cualquier tribunal en caso de incumplimiento por parte del Suscriptor de sus obligaciones de pago en virtud del Contrato sin someterse primero a un arbitraje vinculante.
Reino Unido Bentley Systems (UK) Limited, having its registered office at 43rd Floor, 8 Bishopsgate, London, United Kingdom, EC2N 4BQ Inglaterra y Gales En caso de cualquier disputa, controversia o reclamación entre las partes que surja en virtud de este Contrato, las partes se someterán a arbitraje vinculante ante un único árbitro en Londres, Reino Unido, de conformidad con las Reglas de Arbitraje Comercial de la Cámara de Comercio Internacional. La resolución del árbitro será definitiva y vinculante para las partes, y el cumplimiento de la sentencia sobre el laudo dictado por el árbitro podrá ser exigido por cualquier tribunal con jurisdicción competente. Cada una de las partes asumirá el pago de los honorarios de abogados, costos y expensas en los que haya incurrido con motivo de dicho arbitraje. No obstante lo anterior, Bentley tiene derecho a interponer recursos contra el Suscriptor en cualquier tribunal en caso de incumplimiento por parte del Suscriptor de sus obligaciones de pago en virtud del Contrato sin someterse primero a un arbitraje vinculante.
Brasil Bentley  Systems Brasil Ltda., con sede social en Avenida Paulista, 2537. 9º. Andar. Sala 09-114, São Paulo,  SP, Zip Code  01310-100, BrazilBrasil En caso de cualquier disputa, controversia, pregunta, duda o reclamación ("Disputa") que surja entre las partes en relación con este Contrato, las partes harán todo lo posible por resolver la Disputa. A tal efecto, cualquiera de las partes puede cursar a la otra parte una notificación para convocarla a una reunión con el fin de resolver la Disputa mediante negociaciones amigables y de buena fe ("Notificación de Disputa"). Salvo disposición en contrario de este Contrato, en caso de que las partes no lleguen a una solución dentro del plazo de 30 (treinta días) de enviada la Notificación de Disputa de una parte a la otra, la Disputa se resolverá por arbitraje. El procedimiento de arbitraje estará a cargo del Centro de Arbitraje y Mediación (AMCHAM, por sus siglas en inglés) de acuerdo con sus normas ("Normas de Arbitraje").
Las Disputas solo se podrán resolver mediante el proceso de arbitraje en caso de que en monto en disputa supere los 5.000.000,00 BRL (cinco millones de reales). En caso de que la cifra sea inferior a dicho monto, la Disputa se resolverá antes los Tribunales de la ciudad de San Pablo, estado de San Pablo.
El arbitraje se realizará en portugués y estará a cargo de tres árbitros. El demandante deberá designar un árbitro en la "Solicitud de Arbitraje" y el demandado hará lo propio en su primera oportunidad para manifestarse. En caso de que una de las partes no designe el árbitro correspondiente, este último será designado según el procedimiento establecido por las Normas de Arbitraje. Ambos árbitros designarán de común acuerdo el tercer árbitro, que presidirá el tribunal arbitral. De no haber acuerdo, el tercer árbitro se designará de conformidad con las Normas de Arbitraje.
Las Partes reconocen que cualquiera de ellas podrá interponer una medida cautelar urgente antes los Tribunales de la ciudad de San Pablo, estado de San Pablo, y dicho recurso no será considerado ni incompatible con las disposiciones de esta cláusula o la Ley 9.307/96 ni una renuncia a tales disposiciones. Asimismo de la autoridad conferida al tribunal arbitral por las Normas de Arbitraje, dicho tribunal está facultado para emitir órdenes y otorgar medidas cautelares y precautorias, y exigir el cumplimiento específico, en caso que los considere justo y equitativo.
El laudo arbitral y sus fundamentos se deberán expresar por escrito, y será considerado definitivo y vinculante para las partes y su cumplimiento será exigido conforme a sus términos. El laudo arbitral puede determinar la distribución de costos relativos al proceso de arbitraje, incluidos los honorarios y erogaciones razonables de los abogados.
La elección del foro arbitral decidida por las partes de este Contrato no impide que cualquiera de las partes exija por medios judiciales el cumplimiento del laudo arbitral y las obligaciones exigibles en virtud de este Contrato.
México BENTLEY SYSTEMS DE MEXICO S.A., having its registered office at Insurgentes Sur 1079 piso 3, Oficina 03-125, Colonia Noche Buena, Delegación Benito Juárez, C.P. 03720, Ciudad de México México En caso de cualquier disputa, controversia o reclamación entre las partes que surja en virtud de este Contrato, las partes se someterán a arbitraje vinculante ante un único árbitro en la ciudad de México , México, de conformidad con las Reglas de Arbitraje Comercial de la Cámara de Comercio Internacional. La resolución del árbitro será definitiva y vinculante para las partes, y el cumplimiento de la sentencia sobre el laudo dictado por el árbitro podrá ser exigido por cualquier tribunal con jurisdicción competente. Cada una de las partes asumirá el pago de los honorarios legales, costos y expensas en los que haya incurrido con motivo de dicho arbitraje. No obstante lo anterior, Bentley tiene derecho a interponer recursos contra el Suscriptor en cualquier tribunal en caso de incumplimiento por parte del Suscriptor de sus obligaciones de pago en virtud del Contrato sin someterse primero a un arbitraje vinculante.
China Bentley Systems (Beijing) Co., Ltd., con sede social en 1405-06, Tower 1, China Central Place, No. 81 Jianguo Road, Chaoyang District, Beijing, China  República Popular China Las partes acuerdan resolver de manera amistosa toda disputa que surja en relación con el Contrato. En caso de que las partes no puedan resolver una disputa o diferencia dentro de los 30 días de la notificación cursada por cualquiera de las partes en confirmación de la existencia de la disputa, cualquiera de las partes podrá someter la disputa a la Comisión Internacional de Arbitraje Económico y Comercial de China en Beijing (“CIETAC”) para el arbitraje definitivo y vinculante de acuerdo con las reglas y procedimientos de CIETAC. Cualquier tribunal de jurisdicción competente podrá exigir el cumplimiento del laudo arbitral de la CIETAC. 
Taiwán Bentley Systems, Incorporated, Taiwan Branch, con sede social en Spaces, 1F., No. 170, Sec. 3, Nanjing E.Rd., Zhongshan Dist., Taipei City 104, Taiwán, República de China TaiwánToda disputa, controversia, diferencia o reclamo que surja o esté relacionado con el Contrato, o su incumplimiento, rescisión o nulidad, se deberá resolver de manera definitiva por arbitraje remitido a la Asociación China de Arbitraje, sita en Taipei, de conformidad con las reglas de arbitraje de la Asociación. El arbitraje se llevará a cabo en Taipei, Taiwán. El arbitraje se realizará en idioma inglés. El laudo arbitral será definitivo y vinculante para ambas partes. 
India Bentley Systems India Private Limited, having its registered office at Suite No. 1001 & 1002,  WorkWell Suites, 10th Floor,  Max House,  1516/338, 339, 340, Village Bahapur, New Delhi 110020, India India En caso de cualquier disputa, controversia o reclamación entre las partes que surja en virtud de este Contrato, las partes se someterán a arbitraje vinculante ante un único árbitro en Nueva Delhi, India, designado de conformidad con las Normas de Arbitraje de la Cámara de Comercio Internacionales y dicha disputa, controversia o reclamo se resolverá de manera definitiva según tales Normas. La decisión del árbitro será definitiva y vinculante para las partes, y el cumplimiento de la sentencia sobre el laudo arbitral será exigible por los tribunales de jurisdicción competente, según las disposiciones de la Ley de Arbitraje y Conciliación de 1996. Cada una de las partes asumirá el pago de los honorarios legales, costos y expensas en los que haya incurrido con motivo de dicho arbitraje. Sujetas a arbitraje, las partes acuerdan someterse a la jurisdicción exclusiva de los tribunales de Nueva Delhi, India. No obstante lo anterior, Bentley tiene derecho a interponer recursos contra el Suscriptor en cualquier tribunal en caso de incumplimiento por parte del Suscriptor de sus obligaciones de pago en virtud del Contrato sin someterse primero a un arbitraje vinculante.
En todo el mundo a excepción de los países o regiones descritos arriba Bentley Systems International Limited, having its registered office at 6th Floor, 1 Cumberland St, Fenian St, Dublin 2, D02 AX07, Ireland Irlanda En caso de cualquier disputa, controversia o reclamación entre las partes que surja en virtud de este Contrato, las partes se someterán a arbitraje vinculante ante un único árbitro en Dublín, Irlanda, de conformidad con las Reglas de Arbitraje Comercial de la Cámara de Comercio Internacional. La resolución del árbitro será definitiva y vinculante para las partes, y el cumplimiento de la sentencia sobre el laudo dictado por el árbitro podrá ser exigido por cualquier tribunal con jurisdicción competente. Cada una de las partes asumirá el pago de los honorarios legales, costos y expensas en los que haya incurrido con motivo de dicho arbitraje. No obstante lo anterior, Bentley tiene derecho a interponer recursos contra el Suscriptor en cualquier tribunal en caso de incumplimiento por parte del Suscriptor de sus obligaciones de pago en virtud del Contrato sin someterse primero a un arbitraje vinculante.

8. Varios. 

8.1. Cesión. El Suscriptor no podrá ceder, transferir, cobrar, subcontratar, delegar o negociar en modo alguno ninguno de sus derechos u obligaciones en virtud del Contrato sin el consentimiento previo por escrito de Bentley. A los efectos del Contrato, un cambio de control del Suscriptor se considerará una cesión para la cual Bentley concede por el presente su consentimiento previo por escrito, siempre y cuando la entidad resultante de dicho cambio de control celebre un contrato de suscripción al programa con Bentley. Bentley también podrá ceder, transferir, cobrar, subcontratar, delegar o de otro modo negociar sus derechos u obligaciones en virtud del Contrato con cualquier sucesor del negocio de Bentley o cualquier persona jurídica que la controle, esté controlada por ella o bajo control común de la Entidad Contractual Bentley. Cualquier supuesta cesión que contravenga esta disposición se considerará nula y sin efecto. 

8.2. Totalidad del Contrato. Este Contrato, junto con el Documento de Oferta y las enmiendas firmadas de acuerdo con el artículo 8.3 de estos Términos, si las hubiere, constituyen la totalidad de lo acordado entre las partes y sustituyen y se fusionan a todos los acuerdos, discusiones y compromisos previos, tanto orales como escritos, que se hayan producido entre las partes con respecto al objeto del presente. Los términos y condiciones del Contrato y de la correspondiente confirmación de Bentley serán de aplicación a todos los pedidos aceptados y remitidos por Bentley conforme a lo dispuesto en el presente. Los términos y condiciones adicionales o diferentes que se incluyan en una orden de compra que emita el Suscriptor conforme a lo dispuesto en el presente, aun cuando Bentley reconozca tales términos y condiciones, no será vinculante para las partes hasta que ambas partes los acepten expresamente por escrito por separado, según lo dispuesto en estos Términos. 

8.3. Modificaciones. Este Contrato solo podrá enmendarse o modificarse mediante un documento escrito debidamente formalizado por los representantes autorizados de las partes; no obstante, los términos y condiciones adicionales o distintos que aparezcan en una orden de compra, aunque deban ser reconocidos por Bentley, no serán vinculantes para las partes. 

8.4. Fuerza mayor. Bentley no será responsable del incumplimiento de los términos y condiciones del Contrato si dicho incumplimiento se debe a un incendio, huelga, guerra, pandemia, actos o restricciones de gobiernos o autoridades públicas, hechos fortuitos, disturbios laborales, acciones terroristas, tumultos o conmoción civil, u otras causas que sean inevitables y escapen al control razonable de Bentley. 

8.5. Renuncia. El hecho de que alguna de las partes no insista, en una o más ocasiones, en que se satisfaga alguno de sus derechos derivados del Contrato, o el hecho de que alguna de las partes no ejerza alguno de sus derechos, no se considerará una renuncia a tales derechos en ocasiones posteriores. 

8.6. Supervivencia. Los acuerdos contenidos en el Contrato que debido a la naturaleza de sus términos exigen o contemplan el cumplimiento por las partes con posterioridad al vencimiento o rescisión del Contrato (incluidas, entre otras, las disposiciones de los artículos 2, 3, 5, 6, 7 y 8) serán exigibles a pesar de dicho vencimiento o rescisión. 

8.7. Divisibilidad. En caso de que una o más de las disposiciones contenidas en el Contrato se considerasen, por cualquier motivo, no válidas, ilegales o inaplicables en cualquier aspecto, dicha consideración no afectará a ninguna otra disposición de este Contrato, sino que el Contrato se interpretará limitando dicha disposición a fin de reflejar lo mejor posible la intención, el propósito y el efecto económico de dicha disposición o, si ello no fuera posible, borrando dicha disposición del Contrato; no obstante, ello no afectará a la validez de las restantes disposiciones contenidas en el presente, las cuales permanecerán en plena vigencia y efecto de conformidad con sus términos y condiciones. Las partes acuerdan negociar en buena fe con el objeto de sustituir dicha disposición no válida por otra disposición que se asemeje lo más posible al contenido y al propósito del Contrato. 

8.8. Contratista Independiente. A todos los efectos del presente, la relación de Bentley con el Suscriptor será la de un contratista independiente, y nada de lo aquí dispuesto se interpretará en ningún momento como constitutivo de una relación de empleador y empleado entre las partes. 

8.9. Cambio de Titularidad.El Suscriptor notificará a Bentley por escrito con sesenta (60) días de antelación acerca de cualquier cambio en su titularidad o ubicación que se produzca.. En caso de que no sea posible notificar con antelación los cambios en la titularidad debido a restricciones de confidencialidad, el Suscriptor deberá cursar dicha notificación tan pronto como sea posible una vez producido dicho cambio de titularidad. 

8.10. Encabezados. Los encabezados del Contrato se incluyen únicamente a modo de referencia, y no afectarán al significado o interpretación del Contrato. 

8.11. Dos Idiomas. Se pueden proporcionar copias completas o parciales del Contrato redactadas en otros idiomas distintos del inglés. En lo que respecta a la coherencia entre los términos del Contrato redactado en inglés y cualquiera de sus traducciones, prevalecerá la versión en idioma inglés que será vinculante para las Partes. En caso de que el estado/jurisdicción exija que prevalezca el idioma local, no se aplicará este artículo 8.11 en la medida necesaria para cumplir con las leyes locales. 

1.    Definitions.

Las palabras, términos y frases escritos en mayúsculas en estos Términos de los Servicios tendrán el significado que se les asigna en los Términos y Condiciones Generales de Bentley o según la definición que se proporciona más abajo.

2.     Professional Services.

2.1. The description of Services Offerings including the output of the Services Offerings, if any (“Work Product”) shall be set forth in one or more Offering Documents. Each Offering Document shall set forth, at a minimum, the work to be done, the number of Bentley’s personnel to be assigned to Subscriber’s work, the duration of each individual’s assignment, and the fees for the work.

2.2. Method of Performance. Bentley, in conjunction with its personnel, will determine the method, details, and means of performing the work to be carried out for Subscriber, including the use of sub-contractors if deemed necessary. Subscriber shall have no right to, and shall not, control the manner or determine the method of accomplishing such work. Subscriber may, however, require Bentley’s personnel to observe at all times the security and safety policies of Subscriber. In addition, Subscriber shall be entitled to exercise a broad general power of supervision and control over the results of work performed by Bentley to ensure satisfactory performance. This power of supervision shall include the right to inspect, stop work, make suggestions or recommendations as to the details of the work, and request modifications to the scope of an Offering Document.

2.3. Scheduling. Bentley will try to accommodate work schedule requests of Subscriber to the extent possible. Should any personnel of Bentley be unable to perform scheduled services because of illness, resignation, or other causes beyond Bentley’s reasonable control, Bentley will attempt to replace such personnel within a reasonable time, but Bentley shall not be liable for failure if it is unable to do so, giving due regard to its other commitments and priorities.

2.4. Reporting. Subscriber will advise Bentley of the individuals to whom Bentley’s manager will report progress on day-to-day work. Subscriber and Bentley shall develop appropriate administrative procedures for performance of work at Subscriber’s site, if necessary. Subscriber shall periodically prepare an evaluation of the work performed by Bentley for submission to Bentley upon Bentley’s request.

2.5. Place of Work. Certain projects or tasks may require Bentley’s personnel to perform work for Subscriber at Subscriber’s premises. In the event that such projects or tasks are required to be performed at Subscriber’s premises, Subscriber agrees to provide working space and facilities, and any other services and materials Bentley or its personnel may reasonably request in order to perform their work. Bentley acknowledges that Subscriber may have on-site safety and quality policies and procedures to which it requires Bentley employee adherence while on-site. Bentley employees will comply with all reasonable industry standard safety and quality requirements, policies and procedures provided to Bentley in advance. Subscriber recognizes that there may be a need to train Bentley’s personnel in the unique procedures used at Subscriber’s location. When Subscriber determines that such training is necessary, Subscriber shall, unless otherwise agreed in writing, pay Bentley for its personnel’s training time.

2.6. Changes in Services. Subscriber or Bentley may request a change to the Services Offerings as set out in an Offering Document, including modification of the Services Offerings or Work Product, such as those outside the original scope of an Offering Document, by submitting such request in writing to the other party (“Change Order”). Change Orders will become effective only when executed by authorized representatives of both parties. All Change Orders must be executed by both parties prior to commencement of the Change Order. If Bentley’s fees or schedule will be impacted by such Change Order, Bentley shall notify Subscriber of such impact prior to Subscriber’s execution of the Change Order.

2.7. Non-Exclusive. Bentley shall retain the right to perform work for others during the term of this Agreement. Subscriber shall retain the right to cause work of the same or a different kind to be performed by its own personnel or other contractors during the term of this Agreement.

2.8. Perpetual License. Upon full payment for the Services Offerings, Bentley shall grant Subscriber a paid-up, perpetual, royalty-free right and license to use the Work Product for Production Use. Bentley retains all right, title and interest to the Work Product not otherwise granted to Subscriber.

2.9. Preexisting Works of Bentley. Bentley hereby reserves and retains ownership of all works which Bentley created unrelated to the Services Offerings performed pursuant to any Offering Document, including but not limited to Products (the “Pre-Existing Works”). Bentley does not grant Subscriber any rights or licenses with respect to the Pre-Existing Works.

2.10. Residuals. It is mutually acknowledged that, during the normal course of its dealings with Subscriber and the Services Offerings, Bentley and its personnel and agents may become acquainted with ideas, concepts, know-how, methods, techniques, processes, skills, and adaptations pertaining to the Services Offerings. Notwithstanding anything in this Agreement to the contrary, and regardless of any termination of this Agreement, Bentley shall be entitled to use, disclose, and otherwise employ any ideas, concepts, know-how, methods, techniques, processes, and skills, adaptations, including generalized features of the sequence, structure, and organization of any works of authorship, in conducting its business (including providing services or creating programming or materials for other customers), and Subscriber shall not assert against Bentley or its personnel any prohibition or restraint from so doing. For the sake of clarity, this Section 2.10 is subject to, and should not be construed to derogate from, Bentley’s confidentiality obligations in Section 2.15.

2.11. Third-Party Interests. Subscriber’s interest in and obligations with respect to any programming, materials, or data to be obtained from third-party vendors, regardless of whether obtained with the assistance of Bentley, shall be determined in accordance with the agreements and policies of such vendors.

2.12. Fees. Bentley shall be paid the fee as specified in each Offering Document, or, if no fee is specified, at Bentley’s customary rates for the level of personnel providing such services. For the sake of clarity, extended project engagements billed on a time and materials basis will be subject to applicable annual rate increases.

2.13. Expenses. Subscriber shall also pay either the actual cost of Bentley’s reasonable travel and living expenses or an agreed-to amount for such travel and living expenses (other than normal commutation travel) for Bentley employees in the performance of Services Offerings set forth in each Offering Document along with all other out- of-pocket expenses incurred by Bentley.

2.14. Estimates. Estimates of total fees for projects may be provided in an Offering Document, but Bentley does not guarantee such estimates. Bentley will, however, notify Subscriber as soon as possible if it will exceed the estimate, and Subscriber may then terminate the project and pay only for services rendered if Subscriber so chooses.

2.15. Confidentiality. In the performance of the Services Offerings, Bentley may acquire information of Subscriber that is proprietary, non-public and identified in writing as confidential by Subscriber. Bentley shall not disclose to anyone not employed by Subscriber nor use except on behalf of Subscriber any such confidential information acquired in the performance of the Services Offerings except as authorized by Subscriber in writing. Bentley shall have no obligation of confidentiality with respect to any information of Subscriber that:

2.15.1. has entered the public domain other than through a breach of this Agreement

2.15.2. haya sido obtenida lícitamente por Bentley de un tercero sin obligación de confidencialidad, o

2.15.3. haya sido conocida por Bentley con anterioridad según se demuestre mediante pruebas claras y convincentes.

Sin perjuicio de las restricciones antedichas, Bentley y su personal podrán utilizar y divulgar cualquier información en la medida que así lo exija una orden de un tribunal o de otra autoridad administrativa, o según sea necesario para que Bentley o su personal puedan proteger sus derechos reflejados en este Contrato, pero en todo caso sólo después de haber notificado al Suscriptor y de que éste haya tenido la oportunidad, si fuera posible, de obtener una protección razonable para dicha información en relación con tal divulgación.

2.16. Termination of Offering Documents. Subscriber or Bentley may terminate any uncompleted Offering Document at any time by giving thirty (30) days written notice to the other party. Upon such termination, Bentley agrees to stop performing the Services Offerings under the Offering Document in question and to forward to Subscriber all completed or uncompleted drawings, reports or other documents relating to the Services Offerings. In the event of such termination Subscriber shall be liable only for such fees, costs and expenses as have accrued prior to the effective date of such termination.

2.17. Prohibition on Hiring. Subscriber shall not solicit for employment or hire any Bentley employees providing professional services directly or indirectly hereunder for the duration of the Services Offerings, plus a period of one (1) year after completion of the professional services provided hereunder. This Section 2.17 does not apply if an employee responds to a publicly available advertisement for recruitment listed by Subscriber, if Subscriber does not otherwise solicit the employee for the position.

2.18. Survival. The covenants contained in the Agreement which, by their terms, require or contemplate performance by the parties after the expiration or termination of the Agreement (including, but not limited to, Sections 2.7, 2.9, 2.10 2.11 2.13 2.15, 2.16, and 2.17) shall be enforceable notwithstanding said expiration or termination.

2. Servicios Profesionales 

2.1. En un futuro, el Suscriptor podrá solicitar a Bentley la prestación de servicios profesionales y Bentley podrá aceptar la prestación de tales servicios de conformidad  con un Contrato. La descripción de los servicios profesionales solicitados por el Suscriptor y que Bentley acepta prestar (“Trabajo”) incluido el resultado del Trabajo, si lo hubiere, (“Producto del Trabajo”) se debe establecer en uno o más Documentos de Oferta. Los Documentos de Oferta deberán indicar, como mínimo, el trabajo que se habrá de realizar, el número de empleados de Bentley a los que habrá que asignar al trabajo demandado por el Suscriptor, la duración de cada asignación individual, y los honorarios establecidos en contraprestación por el trabajo.  

2.2. Método de ejecución. Bentley, junto con su personal, determinará el método, los pormenores y los medios para ejecutar el Trabajo que deba realizarse para el Suscriptor, incluido el uso de subcontratistas si se considerase necesario. El Suscriptor no tendrá derecho a controlar la manera ni a determinar el método de realización de dicho Trabajo, y por lo tanto no ejercerá dicho control ni determinación. No obstante, el Suscriptor podrá exigir al personal de Bentley que observe en todo momento las políticas de seguridad del Suscriptor. Además, el Suscriptor tendrá derecho a ejercer una supervisión y un control generales sobre los resultados del trabajo realizado por Bentley con el objeto de garantizar una ejecución satisfactoria. Esta capacidad de supervisión incluirá el derecho a inspeccionar, detener el Trabajo, hacer sugerencias o recomendaciones respecto de los pormenores del trabajo, y solicitar modificaciones al ámbito de aplicación del Documento de Oferta. 

2.3. Calendario de trabajo. Bentley, en la medida de lo posible, intentará adaptarse a los deseos del Suscriptor en lo que respecta a los plazos para la realización del Trabajo. En caso de que algún empleado de Bentley no pudiese realizar los servicios previstos debido a enfermedad, dimisión, u otras causas que escapen al control razonable de Bentley, Bentley intentará sustituir a dicho empleado dentro de un plazo razonable, aunque Bentley no será responsable en caso de que no pueda hacerlo debido a otros compromisos o prioridades. 

2.4. Comunicación. El Suscriptor informará a Bentley acerca de aquellas personas a las que el director de Bentley habrá de comunicar la evolución del trabajo diario. El Suscriptor y Bentley desarrollarán procedimientos administrativos adecuados para la ejecución del Trabajo en los locales del Suscriptor, si se estima necesario. El Suscriptor elaborará periódicamente una evaluación del trabajo realizado por Bentley, para poder entregar dicha evaluación a Bentley cuando Bentley así lo solicite. 

2.5. Lugar de Trabajo. Determinados proyectos o tareas podrán requerir que el personal de Bentley realice el Trabajo para el Suscriptor en las instalaciones del Suscriptor. En caso de que tales proyectos o tareas tengan que realizarse en las instalaciones del Suscriptor, el Suscriptor acepta proporcionar un espacio de trabajo y los medios necesarios, así como cualesquiera otros servicios o materiales que Bentley o sus empleados pudieran razonablemente solicitar para realizar su trabajo. Bentley reconoce que es posible que el Suscriptor tenga políticas y procedimientos de seguridad y calidad implementados en sus instalaciones a los que los empleados de Bentley deberán adherir mientras se encuentren en tales instalaciones. Los empleados de Bentley cumplirán con todos los requisitos, políticas y procedimientos razonables de calidad y seguridad estándar de la industria comunicados a Bentley con antelación.  El Suscriptor reconoce que puede que sea necesario capacitar al personal de Bentley en los procedimientos exclusivos que se utilicen en las instalaciones del Suscriptor. Cuando el Suscriptor determine que dicha capacitación es necesaria, el Suscriptor, salvo que se acuerde de otra forma por escrito, habrá de abonar a Bentley el tiempo que éste haya dedicado a la capacitación de su personal. 

2.6. Cambios en los Servicios. El Suscriptor o Bentley puede solicitar la introducción de cambios en el Trabajo definido en el Documento de Oferta, incluidas las modificaciones del Trabajo o del Producto del Trabajo, como aquellas que quedan fuera del alcance original del Documento de Oferta, mediante la presentación de dicha solicitud por escrito a la otra parte (“Orden de Cambio”).  Las Órdenes de Cambio serán efectivas una vez firmadas por los representantes autorizados de ambas partes.  Todas las Órdenes de Cambio deberán llevar la firma de ambas partes antes de dar cumplimiento a la Orden de Cambio.  En caso de que los cargos o el cronograma de Bentley resulten afectados por dicha Orden de Cambio, Bentley deberá notificar al Suscriptor acerca de dicho impacto antes de que el Suscriptor de cumplimiento a dicha Orden de Cambio. 

2.7. No Exclusividad. Bentley seguirá conservando el derecho a realizar trabajos para otros durante el período de vigencia de este Contrato. El Suscriptor mantendrá el derecho a hacer que su propio personal u otros contratistas realicen trabajos del mismo tipo o de un tipo distinto durante el período de vigencia de este Contrato. 

2.8. Licencia de Carácter Indefinido. Una vez abonado el Trabajo en su totalidad, Bentley concederá al Suscriptor un derecho y una licencia de uso del Producto del Trabajo para Uso de Producción, considerándose dicho derecho como un derecho pagado, de carácter indefinido y libre de derechos de autor. Bentley conserva todas las facultades, la titularidad y los derechos relativos al Producto del Trabajo que no hayan sido concedidos al Suscriptor. 

2.9. Trabajos de Bentley Preexistentes.Bentley se reserva y conserva mediante el presente la titularidad sobre todos los trabajos que Bentley haya creado y que no estén relacionados con el Trabajo realizado en virtud de un Documento de Oferta, incluidos, entre otros, los Productos (los "Trabajos Preexistentes"). Bentley no concede al Suscriptor ningún derecho o licencia con respecto a los Trabajos Preexistentes. 

2.10. Remanentes. Ambas partes aceptan que, durante el transcurso ordinario de su trato con el Suscriptor y la realización del Trabajo, es posible que Bentley y su personal y agentes tengan acceso a ideas, conceptos, prácticas, métodos, técnicas, procesos, destrezas y adaptaciones en relación con el Trabajo. Sin perjuicio de cualquier disposición de este Contrato en sentido contrario, y aunque se haya producido la terminación de este Contrato, Bentley tendrá derecho a usar, divulgar y en general emplear cualquier idea, concepto, práctica, método, técnica, proceso, destreza y adaptación, incluidas las características generalizadas de la secuencia, estructura y organización de los trabajos de autoría, en el desempeño de la actividad comercial (incluida la prestación de servicios o la creación de programación o materiales para otros clientes), y el Suscriptor no reivindicará ante Bentley ni ante su personal ninguna prohibición o restricción a este respecto.  Para mayor claridad, este artículo 1.10 está sujeto a las obligaciones de confidencialidad que establece el artículo 2.15, y no deberá interpretarse como una excepción de tales obligaciones. 

2.11. Derechos de Terceros. Los derechos y las obligaciones del Suscriptor con respecto a cualquier programación, material o datos que se obtengan de proveedores externos, se hayan obtenido o no con la ayuda de Bentley, se determinarán de conformidad con los acuerdos y políticas de tales proveedores. 

2.12. Cargos. Se deberán pagar a Bentley los honorarios estipulados en el Documento de Oferta pertinente y en caso de omisión, se aplicarán los valores habituales de Bentley para la categoría del personal que presta dichos servicios.  Para mayor claridad, las contrataciones por proyectos de largo plazo facturados por tiempo y materiales estarán sujetos a los aumentos de tarifas anuales correspondientes. 

2.13. Gastos. El Suscriptor también pagará el costo real de los gastos razonables de viaje y manutención de Bentley o una suma previamente acordada en concepto de dichos gastos de viaje y manutención (que no sean los relativos al transporte normal de cercanías) en que incurran los empleados de Bentley durante la realización del Trabajo indicado en cada Documento de Oferta junto con todos los demás gastos varios en que Bentley incurriere. 

2.14. Presupuestos indicativos. En los Documentos de Oferta podrá figurar un presupuesto indicativo de los honorarios totales devengados por un proyecto, aunque Bentley no garantiza la exactitud de los mismos. No obstante, en el caso de que se superase el importe de dicho presupuesto indicativo, Bentley lo notificará al Suscriptor tan pronto como sea posible y, si lo desea, el Suscriptor podrá dar por finalizado el proyecto y pagar únicamente por los servicios prestados. 

2.15. Confidencialidad. Durante la ejecución del Trabajo, es posible que Bentley adquiera información del Suscriptor que sea exclusiva, no pública y que el Suscriptor haya identificado por escrito como confidencial. Bentley no divulgará a nadie que no sea un empleado del Suscriptor ni utilizará, salvo en nombre del Suscriptor, ninguna información confidencial que haya adquirido durante la ejecución del Trabajo, salvo si así lo autorizara el Suscriptor por escrito. Bentley no tiene ninguna obligación de confidencialidad respecto de la información del Suscriptor que: 

2.15.1. Haya pasado a ser de dominio público por motivos distintos al incumplimiento del presente Contrato; 

2.15.2. haya sido obtenida lícitamente por Bentley de un tercero sin obligación de confidencialidad, o  

2.15.3. haya sido conocida por Bentley con anterioridad según se demuestre mediante pruebas claras y convincentes. 

Sin perjuicio de las restricciones antedichas, Bentley y su personal podrán utilizar y divulgar cualquier información en la medida que así lo exija una orden de un tribunal o de otra autoridad administrativa, o según sea necesario para que Bentley o su personal puedan proteger sus derechos reflejados en este Contrato, pero en todo caso sólo después de haber notificado al Suscriptor y de que éste haya tenido la oportunidad, si fuera posible, de obtener una protección razonable para dicha información en relación con tal divulgación. 

2.16. Terminación de los Documentos de Oferta. El Suscriptor o Bentley podrán cancelar en cualquier momento cualquier Documento de Oferta no completado, mediante notificación por escrito a la otra parte con treinta (30) días de antelación. Cuando se produzca dicha cancelación, Bentley acepta detener el Trabajo derivado del Documento de Oferta en cuestión y enviar al Suscriptor todos los bocetos, informes u otros documentos completos o incompletos que se refieran al Trabajo. En caso de que se produzca dicha cancelación, el Suscriptor sólo será responsable de las honorarios, costos y gastos que se hayan acumulado antes de la fecha de entrada en vigor de dicha cancelación. 

2.17. Prohibición de Contratar. El Suscriptor no podrá ofrecer empleo ni contratar a ningún empleado de Bentley que proporcione servicios profesionales en virtud del presente, directa o indirectamente, durante la duración del Trabajo más un período de un (1) año tras la finalización de los servicios profesionales proporcionados en virtud del presente Contrato. Este artículo 2.17 no rige para los empleados que respondan a un anuncio de contratación disponible públicamente publicado por el Suscriptor, siempre y cuando el Suscriptor no ofrezca el puesto directamente al empleado de alguna otra manera. 

2.18. Supervivencia. Los acuerdos contenidos en el Contrato que debido a la naturaleza de sus términos, exigen o contemplan el cumplimiento por las partes con posterioridad al vencimiento o rescisión del Contrato (incluidas, entre otras, las disposiciones de los artículos 2.7, 2.9, 2.10, 2.11, 2.13, 2.15, 2.16 y 2.17) serán exigibles a pesar de dicho vencimiento o rescisión. 

1.     Definitions.

The capitalized words, terms and phrases in these Cloud Offering Terms shall have the meanings set forth in the Bentley General Terms and Conditions or as defined below: 1.1. “Data Protection Laws and Regulations” means all laws and regulations, including laws and regulations applicable to the processing of Personal Data as amended from time to time. For the avoidance of doubt, if Bentley’s processing activities involving Personal Data are not within the scope of a given data protection law, such law is not applicable.

1.2. “Data Storage” means the amount of data storage space (including the backup and off-site storage), if any, to be allocated for Subscriber Data within the Bentley environment.

1.3. “Bentley Cloud Offerings” or “Cloud Offerings” mean the Bentley products and services made available to Subscriber and accessed by Users via the internet.

1.4. “Subscriber Data” means data collected or stored by Subscriber using Cloud Offerings, including, but not limited to, financial, business and technical information, engineering plans, customer and supplier information, research, designs, plans, and compilations, but not including any of Bentley’s Proprietary Information.

1.5. “Personal Data” means any information relating to an identified or identifiable (directly or indirectly) natural person processed by Bentley on behalf of Subscriber, the processing of which is subject to applicable law.

2.     Applicability.

Si así lo autoriza Bentley, el Suscriptor podrá suscribirse a las Ofertas en la Nube de Bentley con arreglo a los términos y condiciones específicos establecidos en el presente Contrato. El Suscriptor acepta y reconoce que Bentley podrá a su única discreción utilizar un tercero proveedor de servicios para la provisión de la Oferta en la Nube de Bentley o de los Datos del Suscriptor. Para poder participar, el Suscriptor debe estar al corriente de pago de todas las facturas emitidas por los importes adeudados a Bentley.

3.     Bentley Cloud Offerings.

Cloud Offerings may be accessed by Subscriber under the appliable Program Terms or purchased by Subscriber for additional fees (“Cloud Offering Fees”) to be specified in an Offering Document. The Offering Document may specify the Cloud Offering Fees, any applicable limits and costs to the Cloud Offering including but not limited to, data storage, any applicable services to be delivered for the Cloud Offering such as implementation services. Ongoing management of support of the Cloud Offerings, including system availability and support service level terms applicable to the Cloud Offerings shall be set forth in Bentley’s Service Level Agreement (https://www.bentley.com/legal/sla/). In the event of a conflict between the terms of the Service Level Agreement, these Cloud Offering Terms, and the Bentley General Terms and Conditions, the terms of the Service Level Agreement control solely with respect to the service level obligations contained therein.

4.     Permitted Use.

Bentley will grant Subscriber a non-exclusive, non- transferrable, non-assignable, revocable, limited license to use and access purchased Bentley Cloud Offerings (subject to the terms of any applicable Offering Document, these Cloud Offering Terms and any terms of use (“Terms of Service”) presented upon access) solely Production Use (the “Permitted Use”). Subscriber acquires only the right to use the purchased Cloud Offering and does not acquire any rights of ownership to the Cloud Offering or any part thereof. Bentley and its suppliers retain all rights, title and interest in the Cloud Offering, and any use of the Cloud Offering beyond the Permitted Use shall constitute a material breach of these Cloud Offering Terms; Bentley shall have no liability to Subscriber or any third party in the event of such material breach. In addition to the use restrictions set forth in the Terms of Service, Subscriber’s Permitted Use rights shall be subject to the following conditions:

4.1. Subscriber purchasing against an Offering Document shall not exceed any limits set forth in such Offering Document. In the event use of a Cloud Offering by Subscriber exceeds that purchased by Subscriber as specified in the applicable Offering Document, Bentley may invoice, and Subscriber shall pay, additional Cloud Offering Fees. Bentley shall, in its sole discretion, add such additional fees to subsequent invoices or invoice Subscriber separately.

4.2. In the event of a past due balance, Bentley reserves the right to suspend use of the Cloud Offerings until all past due amounts have been received.

4.3. Bentley reserves the right, but does not assume any responsibility, to modify or suspend use of a Cloud Offering, or any part thereof, if (i) Bentley determines in its sole discretion that such suspension is necessary to comply with any applicable law, regulation or order of any governmental authority or with the terms of its agreement(s) with its third party service providers; or (ii) Bentley determines in its sole discretion that the performance, integrity or security of the Cloud Offerings is being adversely impacted or in danger of being compromised as a result of Subscriber’s or its Users’ access.

4.4. Subscriber shall not tamper in any way with the software or functionality of Cloud Offerings or any part thereof. Without limiting the foregoing, Subscriber agrees not to put any material into the Cloud Offerings which contain any viruses, time bombs, Trojan horses, worms, cancelbots or other computer programming routines that may damage, interfere with, intercept or expropriate any system or data. Subscriber shall not utilize bots, agents, auction crawlers or other computer based crawling programs in conjunction with its use of the Cloud Offerings. Subscriber shall not upload, post or otherwise transmit any content that is unlawful; any content that Subscriber does not have a right to transmit under any law or contractual or fiduciary relationship; or any content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party.

4.5. Subscriber is responsible for ensuring that Users safeguard the credentials, including passwords, used to access the Cloud Offerings and do not to disclose credentials to any third party. Subscriber is responsible for all activity using Subscriber’s accounts, whether or not Subscriber authorized that activity. Subscriber shall immediately notify Bentley of any unauthorized use of Cloud Offerings. Subscriber shall ensure that all User information is current and shall immediately notify Bentley in the event of a change in contact information or other User information.

4.6. Subscriber shall communicate the above listed use restrictions to all Users, including Subscriber employees and External Users accessing or using any Cloud Offerings. The acts or omissions of any such User accessing the Cloud Offerings shall be deemed to be the acts or omissions of the Subscriber, such that Subscriber shall be fully responsible for the performance and fulfillment of all applicable contractual obligations. Subscriber shall indemnify and hold Bentley harmless against all liability resulting from any non-compliance with the terms of this Section 4 by Users, including Subscriber employees and External Users.

5.     Access and Availability.

Subscriber is responsible for providing all equipment and the connectivity necessary to access and use Cloud Offerings via the Internet. Subscriber agrees that from time to time the Cloud Offerings may be inaccessible or inoperable for various reasons, including without limitation (i) system malfunctions; (ii) periodic maintenance procedures or repairs which Bentley or its service provider(s) may undertake from time to time; (iii) compatibility issues with Subscriber’s or a third party’s hardware or software; or (iv) causes beyond the control of Bentley or which are not reasonably foreseeable by Bentley, including network or device failure, interruption or failure of telecommunication or digital transmission links, hostile network attacks or network congestion or other failures (collectively “Downtime”). Bentley shall use reasonable efforts to provide advance notice to Subscriber in the event of any scheduled Downtime, and to minimize any disruption of the Cloud Offerings in connection with Downtime.

6.     Subscriber Data.

Bentley acknowledges, and Subscriber warrants and represents, that Subscriber owns all right, title and interest in Subscriber Data. Subscriber shall indemnify and hold Bentley harmless against all claims against Bentley alleging that the Subscriber Data collected or stored for use with the Bentley Cloud Offerings infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any third party, or in any way violates any privacy or data protection laws. Bentley shall not be responsible for any failure or impairment of the Bentley Cloud Offerings caused by or related to the Subscriber Data. Bentley shall maintain the confidentiality of all Subscriber Data and shall not reproduce or copy such data except as required to as permitted under this Section 6 in connection with providing Cloud Offerings or as may be expressly authorized by Subscriber. If Subscriber Data includes Personal Data and the processing of the same is regulated by Data Protection Laws and Regulations, the parties agree to adhere to the Data Processing Addendum (https://www.bentley.com/legal/data-processing-addendum/). In the event of a conflict between the terms of the Data Processing Addendum, these Cloud Offering Terms, and the Bentley General Terms and Conditions, the terms of the Data Processing Addendum controls solely with respect to the privacy and information security obligations contained therein. Subscriber shall be solely responsible for the Subscriber Data, including without limitation for uploading such data, securing transmission of such data to Bentley, and/or appropriately formatting and configuring such data for use with the Bentley Cloud Offerings. Subscriber agrees and acknowledges that Bentley may from time-to-time collect Usage Data and that all Usage Data shall be owned by Bentley and deemed Bentley Proprietary Information. Subscriber agrees not to alter or interfere with the collection by Bentley of accurate Usage Data.

7.     Termination.

In addition to the termination rights of the parties set forth in Bentley’s General Terms and Conditions, Bentley may terminate a Cloud Offering Subscription, upon written notice, not unreasonably delayed, to Subscriber, in the event of the termination of Bentley’s agreement(s) with its third-party service provider(s). Termination of a Cloud Offering Subscription by either party shall automatically terminate any license granted pursuant to Section 4 of these Cloud Offering Terms.

1.     Definitions.

The capitalized words, terms and phrases used in the Cloud Services Subscription Order Form (“CSS Order Form”) and these Cloud Services Subscription Terms shall have the meanings set forth below or in the Bentley General Terms and Conditions.

2.     Overview.

At Subscriber’s request and upon Bentley’s approval, Subscriber and its authorized Affiliates (as defined in the E365 Program Terms) may participate in the Cloud Services Subscription (“CSS”) program, subject to the terms and conditions stated in these Cloud Services Subscription Terms (“CSS Terms”). To be eligible to participate, Subscriber must be current on all outstanding invoices for amounts owed to Bentley. As a participant in the CSS program, Subscriber agrees to pay payments to Bentley (“CSS Payments”), which can be used to fund Eligible CSS Services (as defined below). Prior to participating in the CSS program, Subscriber shall execute a CSS Order Form, which shall designate the Initial CSS Payment. In the event Subscriber executes multiple CSS Order Forms over time, the CSS Order Form with the most recent execution date shall supersede all previous CSS Order Forms.

3.     Eligible Services.

Bentley services eligible for funding through the CSS program include Term Licenses (as defined in the SELECT Program Terms), CALs (including Visas and Passports) (as defined in the SELECT Program Terms), Cloud Offerings, E365 Program and Recurring Services (“Eligible CSS Services”). Bentley may amend the list of Eligible CSS Services from time to time at Bentley’s sole discretion. Only Eligible CSS Services invoiced for during the CSS subscription are eligible for CSS funding through the CSS program.

4.     Affiliate Participation.

Subscriber acknowledges that its affiliates may utilize Subscriber’s CSS to fund Eligible CSS Services (“Affiliate CSS Transactions”) and hereby authorizes Bentley to hold certain CSS funds in trust for payment of Eligible CSS Services. Subscriber agrees that it shall expressly authorize payment for each Affiliate CSS Transaction.

5.      CSS Payments and Balances.

5.1. Pago inicial de CSS.

Subscriber agrees to pay Bentley an Initial CSS Payment, which is based on a good faith estimate of anticipated fees, including applicable taxes, to be assessed for Eligible CSS Services for a twelve-month period (“Estimated Annual Fees”) beginning with the CSS subscription start date, as indicated on the CSS Order Form. The value of the Initial CSS Payment shall constitute the initial CSS balance (at any time during the CSS Subscription, the “CSS Balance”), which will be drawn down as Eligible CSS Services are consumed.

5.2. Reposición de CSS.

Subscriber agrees to make additional payments prior to the complete depletion of the CSS Balance. The minimum replenishment amount will be based on the balance of any unpaid invoices for Eligible CSS Services plus the Estimated Annual Fees calculated for a twelve-month period beginning with the approximate date at which the CSS Balance will be depleted. Subscriber may make additional payments at any time, but the minimum value of such replenishment must be the Estimated Annual Fees calculated for a twelve-month period beginning with the date the additional payment is made.

5.3. Pagos de CSS.

Bentley shall issue a payment request to Subscriber for the Initial CSS Payment in accordance with the amount set forth in the CSS Order Form (hereinafter “Payment Request,” which may refer to any payment request document entitled “Payment Request,” “Invoice” or similar identifier). Payment terms shall be as set forth in the Bentley General Terms and Conditions. Thereafter, Bentley may issue additional Payment Requests to replenish the CSS Balance (as defined in Section 5.2 herein). In the event of a Payment Request that is past due, Bentley may in addition to exercising any rights provided in Section 2.1 of Bentley’s General Terms and Conditions, take technical measures aimed at restricting or discontinuing Subscriber’s Use of the Eligible Services. Subscriber’s failure to cure such non-payment within thirty (30) days may, in Bentley’s sole discretion, be deemed an effective termination of Subscriber’s participation in the CSS program, in which case:

5.3.1. To the extent that the technical measures referenced above in this Section 5.3 did not include cessation of access to Eligible CSS Services, such access shall cease upon termination;

5.3.2. Subscriber will be invoiced for Eligible CSS Services provided during such period; and

5.3.3. Bentley will return any remaining CSS funds in accordance with Section 6.2 herein.

5.4. Estados de cuenta de CSS.

6.     Miscellaneous.

6.3. Conflictos.

Insofar as this Agreement is not an international supply contract within the meaning of section 26 of the Unfair Contract Terms Act 1977, Bentley does not exclude liability for
